AT4 moves US antimony strategy into refinery execution

American Tungsten & Antimony has completed its Nexus acquisition and secured ownership of the Del Sol hydrometallurgical refinery in Nevada, moving its US antimony strategy from transaction to execution. The Arizona White Spar acquisition remains conditional, while the completion consideration includes more than one billion shares and substantial performance rights.

Del Sol refinery ownership secured

AT4 has crossed the most important line in its US critical minerals strategy: it now owns the Del Sol hydrometallurgical refinery in Nevada. The company also completed its acquisition of 100% of Nexus Metals, giving it control of the US processing asset it describes as the downstream anchor for an integrated antimony and tungsten business.

The transaction closes a process that had remained unfinished when AT4 demonstrated its proposed US mine-to-metal chain. That earlier work produced antimony ingot from Arizona material at the Nevada facility, while the first mine-to-metal test provided the physical basis for customer qualification discussions. AT4 now says its priorities are to advance antimony processing, qualify products with prospective customers and study an expansion into tungsten ammonium paratungstate, or APT, production.

Completion consideration creates substantial dilution

AT4 paid US$2.600 million in cash and issued 1,023,562,482 ordinary shares as consideration for Nexus and the refinery transaction. It also issued 255,700,065 options exercisable at $0.10 on or before 17 October 2028, alongside 803,644,968 performance rights that can convert into shares if the refinery meets specified production and product milestones.

Half of the issued shares and options, together with all performance rights and any shares issued on conversion, are subject to voluntary escrow until the earlier of six months after completion or AT4's proposed Nasdaq listing. A further portion of the shares issued to Nexus shareholders remains restricted for longer, while 72.5 million shares issued to Del Sol are held under a 24-month lock as security for obligations under the refinery transaction.

Refinery milestones now set the test

The performance rights attach the potential equity impact to operational thresholds rather than to completion alone. Half of the rights vest if the refinery processes at least two tonnes of ore per day for 10 continuous operating days. The balance requires the first delivery of Regulus II antimony metal ingot containing at least 99% antimony and independently valued at no less than A$15,000 per tonne.

Separate contingent payments of up to US$20 million remain linked to higher sustained processing rates, ranging from 10 to 18 tonnes per day. The announcement says no milestone payment became payable because of the restructure or completion. AT4 also retains plans to progress a proposed Nasdaq listing, with the revised direct-asset structure intended to simplify ownership and related US regulatory and financial reporting considerations. The company had previously advanced that process through a confidential Nasdaq filing, but approval remains subject to regulatory and exchange requirements.

White Spar remains outside the completed deal

The Arizona White Spar transaction is a separate matter. It still requires conditions including assignment of the relevant lease with third-party consents and customary title confirmations, and AT4 warns there is no certainty the deal will complete. The US$399,990 cash payment and 33,832,487 shares allocated to White Spar are payable only if that transaction closes.

ASX said AT4's trading suspension would be lifted immediately after the completion announcement. Timothy Walker has also joined the board as the vendors' nominee. The immediate question is no longer whether AT4 can secure the refinery, but whether Del Sol can deliver repeatable throughput, product qualification and commercial relationships before the contingent securities and escrow arrangements become the market's next focus.

Bottom Line?

AT4 now controls the refinery at the centre of its strategy, but the investment case turns on operating performance, customer qualification and whether White Spar can clear its remaining conditions.

Questions in the middle?

  • Can Del Sol sustain the throughput needed to trigger the refinery-linked milestones?
  • Will AT4 secure customer qualification or commercial relationships for its antimony products?
  • Can the White Spar transaction satisfy third-party consents and title conditions?
