Crimson clears 90% in Kip McGrath takeover

Crimson Australia has reached 91.40% control of Kip McGrath, crossing the threshold needed to pursue compulsory acquisition of the remaining shares. Holdouts can still accept the offer before the scheduled 4 November deadline for faster payment.

  • 91.40% relevant interest reached as of 29 October
  • Crimson Australia intends to compulsorily acquire remaining shares
  • Kip McGrath shareholders can accept until 7.00pm on 4 November
  • Compulsory acquisition notices have not yet been dispatched

Crimson crosses the compulsory acquisition threshold

Crimson Consulting Australia has moved past the decisive 90% ownership threshold in Kip McGrath Education Centres Limited (ASX:KME), reporting a 91.40% relevant interest as of 29 October. The milestone gives the bidder the ability to pursue compulsory acquisition of the shares it does not yet control.

The bidder said it intends to compulsorily acquire all remaining Kip McGrath shares. That process is not complete: compulsory acquisition notices still need to be dispatched to shareholders who have not accepted the offer.

Minority holders face a narrowing choice

Shareholders who remain outside the offer can still accept by 7.00pm Melbourne time on 4 November 2026, unless Crimson extends the offer again. Crimson said accepting before that deadline would result in quicker payment than waiting for compulsory acquisition.

The threshold was reached after Crimson's final-price declaration, under which the bidder had reported an 82.07% relevant interest and kept the offer open until 4 November. That earlier announcement also said the cash offer had been declared final and last.

The remaining transaction steps

For Kip McGrath, the announcement marks a substantial shift from a contested control process to the mechanics of completing a near-total takeover. Crimson Australia, a wholly owned subsidiary of New Zealand-incorporated Crimson Consulting, has stated its intention rather than confirmed that every remaining share has been acquired.

The immediate points to track are the dispatch of the compulsory acquisition notices, whether the offer is extended beyond 4 November, and the final ownership outcome. Until those steps occur, the 91.40% figure is a major transaction milestone, but not yet the end of Kip McGrath's minority-shareholder process.

Bottom Line?

The 90% threshold has turned Crimson's bid into a completion exercise, but the final ownership position still depends on the remaining acceptances and compulsory acquisition process.

Questions in the middle?

  • Will Crimson extend the offer beyond the scheduled 4 November closing time?
  • When will compulsory acquisition notices be dispatched to non-accepting shareholders?
  • What final ownership level will Crimson report once the takeover process is complete?
