25.8% take-up leaves underwriter funding $677,813 shortfall

Biotechnology By Ada Torres 2 min read

Cynata Therapeutics will raise approximately $912,962 after shareholders subscribed for just 25.8% of its fully underwritten entitlement offer. Caravel Securities will fund the remaining shortfall, leaving the biotech reliant on the underwriter to complete the raise.

  • $235,150 subscribed by eligible shareholders
  • 25.8% take-up of the offered New Shares
  • Underwriter to subscribe for 67.8 million shortfall shares
  • Total gross proceeds of approximately $912,962 before costs
  • New securities expected to be issued on 3 November

Shareholders take up 25.8% of entitlement offer

Cynata Therapeutics Limited (ASX:CYP) will raise approximately $912,962 before costs from its entitlement offer, but only after the underwriter steps in to absorb most of the issue. Eligible shareholders applied for 23,514,945 New Shares, raising approximately $235,150 and representing an overall take-up of 25.8%.

The result closes the loop on the underwritten $913,000 offer, which opened earlier this month on a three-for-eight basis at $0.01 per share. The offer also included one free Entitlement Option for every three New Shares issued.

Caravel to fund the shortfall

Caravel Securities will subscribe for the remaining 67,781,296 New Shares and approximately 22,593,765 Entitlement Options under the underwriting agreement. That means the capital target is expected to be met, but the overwhelming majority of the new shares will come from the underwriter rather than existing eligible shareholders.

On completion, the issue will comprise approximately 91.3 million New Shares in total, based on the shareholder applications and stated shortfall. The securities carry a low entry price, while the Entitlement Options and Underwriter Options will be unquoted, exercisable at $0.02 on or before 3 May 2029. The filing does not disclose the number of Underwriter Options to be issued.

Funding arrives as Cynata reassesses its platform

The cash injection comes as Cynata evaluates development pathways and strategic options for its Cymerus mesenchymal stromal cell platform. The company says its board is considering ways to realise value from the technology and obtain rights to new assets; the announcement does not provide a revised funding runway or detail how the proceeds will be allocated.

The New Shares and options are expected to be issued on 3 November 2026, with normal settlement trading in the New Shares expected to begin on 4 November. The immediate question is whether the approximately $913,000 gross raise provides enough time for the board to turn its strategic review into a defined commercial or development plan.

Bottom Line?

The raise is expected to complete, but the 25.8% shareholder take-up leaves Cynata dependent on underwriter funding while it decides what comes next for Cymerus.

Questions in the middle?

  • How much of the gross proceeds will remain available after offer and other company costs?
  • What strategic pathway will Cynata select for the Cymerus platform?
  • Will the new shares and unquoted options materially change the company’s future funding needs?
