A$2 million placement backs Dotz’s proposed US$1 million GridFeed acquisition

Climate Technology By Victor Sage 5 min read

Dotz Nano has secured commitments for a A$2 million placement while proposing to acquire PRF Technologies’ GridFeed software for US$1 million paid over 21 months. The move would broaden its energy strategy from building-level cooling optimisation into renewable generation, storage and grid analytics, but the deal and much of the commercial pipeline remain conditional.

  • A$2 million placement at A$0.016 per share, with attaching options subject to approval
  • Proposed US$1 million GridFeed acquisition payable in 21 monthly instalments
  • PRF to potentially invest a further US$250,000 in Dotz
  • ChillerAI pilots and hotel discussions advance in Cyprus
  • US$224,000 cash at quarter-end against US$912,000 quarterly operating cash burn

Capital raise funds Dotz’s shift towards grid software

Dotz Nano Limited (ASX:DTZ) is raising fresh capital at a steep discount while positioning itself as more than a building-efficiency company. The company has secured commitments for a A$2 million placement at A$0.016 a share and signed a non-binding term sheet to acquire PRF Technologies’ DeepSolar/GridFeed software platform, extending Dotz Energy into solar, storage and renewable-energy market analytics.

The placement comprises 125 million new shares. About A$1.64 million is backed by firm commitments from sophisticated and professional investors, while PRF’s proposed US$250,000 subscription is conditional on the GridFeed transaction completing and receiving shareholder approval. Participants are also expected to receive one unquoted option for every placement share, with the options exercisable at A$0.03 for two years, subject to approval.

The issue price is 27.3% below Dotz’s last closing price before its trading halt and 23.8% below its 15-day VWAP. That makes the raise meaningful funding for a company with limited cash, but also puts the immediate shareholder impact in plain view: the new shares and potential options will materially increase the securities on issue.

Under the proposed transaction, Dotz would pay US$1 million in 21 equal monthly instalments, with no upfront payment and the first instalment due three months after completion. GridFeed is currently running a pilot that generates about US$70,000 in annual recurring revenue, according to Dotz’s announcement. The company’s investor presentation also cites potential revenue improvements from forecasting, battery arbitrage and curtailment optimisation, although those figures come from GridFeed data and have not been independently verified by Dotz.

The term sheet is not binding beyond customary provisions, and definitive agreements must be signed within 90 days unless extended. Completion still depends on due diligence, board approvals, regulatory and third-party consents, sufficient placement capacity or shareholder approval, and other conditions. PRF would retain legal title to the platform assets until Dotz has paid US$650,000; security warrants could also be issued to PRF if Dotz defaults or becomes insolvent.

The deal would give Dotz two distinct commercial propositions: ChillerAI seeks to reduce energy consumption in large buildings, while GridFeed is designed to improve the revenue earned by renewable assets. That strategic logic is clear enough. The harder question is whether a small company with a short cash runway can integrate another software business while converting its existing pilots into revenue.

Cyprus pilots show commercial activity, not contracted revenue

Dotz is preparing a proposed 12-month ChillerAI pilot at MyMall Limassol covering six chillers, electricity-meter integration and common-area sensing, with installation targeted for November. The company’s earlier Limassol ChillerAI pilot established the first commercial pilot for the technology, but the current filing still describes customer opportunities as being at different stages rather than as contracted revenue.

A memorandum of understanding with Thanos Hotels covers potential ChillerAI and heat-pump deployments at the Anassa, Annabelle and Almyra hotels, subject to technical and commercial validation. Dotz says its broader pipeline contains 87 properties across hotel, retail and commercial groups in Cyprus, Greece, Israel and wider Europe. It has also advanced a €600,000, 24-month sorbent supply agreement with Soletair Power, with the first batch expected in early 2027 subject to satisfactory sample results, following the earlier Soletair sorbent agreement.

Cash position leaves little room for execution delays

The September-quarter figures provide the most immediate constraint. Dotz held US$224,000 in cash at 30 September and used US$912,000 in operating activities during the quarter, with no unused finance facilities reported. The Appendix 4C calculates estimated funding at 0.25 quarters on that cash position; Dotz says it expects to continue operating on the basis of the new capital raise and initial commercial income in coming months.

The company has begun cutting costs, including reducing Dotz Earth research and development expenditure, restructuring its organisation and planning to close its existing office at the end of November. It has also progressed an extension of relevant Mercer convertible-note maturities to 31 December 2027. Those measures may preserve cash, but the next tests are concrete: definitive GridFeed documents, shareholder approval, the conditional PRF funding, installation and measurement at MyMall, and evidence that the 87-property pipeline can become paying deployments.

Bottom Line?

Dotz has bought itself funding and a larger energy narrative, but the cash buffer remains thin and the GridFeed strategy still depends on approvals, integration and early customer revenue.

Questions in the middle?

  • Can Dotz convert the MyMall pilot and Thanos Hotels MOU into recurring, measurable revenue before the new capital is consumed?
  • Will definitive GridFeed agreements be signed within the 90-day term-sheet window, and can the platform support its staged purchase price?
  • How much dilution will existing shareholders face once the placement shares, attaching options, broker options and conditional PRF securities are issued?
