Pinnacle Minerals is seeking shareholder approval for a securities-funded acquisition of five early-stage tungsten projects in Utah, alongside a proposed A$1.3 million placement. The transaction would bring new management, substantial exploration commitments and a sharply larger pool of performance securities.
- Five Utah projects spanning 199 claims and approximately 4,000 acres
- 33.3 million shares and 33.3 million performance shares proposed for APT Tungsten
- Up to A$1.3 million placement priced at A$0.045 a share
- Hero project targeted for initial exploration from January 2027
- Completion depends on shareholder, title, regulatory and funding conditions
Utah Tungsten Acquisition Moves to Shareholder Vote
Pinnacle Minerals Limited (ASX:PIM) has put a securities-heavy expansion into US tungsten before shareholders, proposing to acquire APT Tungsten and its exclusive option over five early-stage projects in Utah. The transaction would add 199 mining claims covering approximately 4,000 acres across Millard, Juab and Box Elder counties to Pinnacle’s existing Australian and Canadian exploration portfolio.
The deal, first announced after the quarter ended, would be funded with 33,333,333 ordinary shares and 33,333,333 performance shares. The performance securities would convert into shares if Pinnacle’s volume-weighted average price reaches at least A$0.09 over 20 consecutive trading days, otherwise expiring three years after completion. The proposed structure gives the vendors no cash consideration, although Pinnacle would repay an APT loan of US$254,094 plus accrued interest on completion.
The proposed transaction builds on the October Utah tungsten proposal, which outlined the five-project portfolio and an accompanying capital raising. Completion remains conditional on shareholder approval, a minimum A$1.2 million being raised under the placement, relevant title transfers and regulatory approvals, and no material adverse change affecting Pinnacle or APT.
Hero Leads an Early-Stage Exploration Program
Pinnacle has selected the Hero, or House Range, project as its first exploration priority after a September site visit identified extensive outcropping skarn, historical workings and mining equipment. The project sits in the historic Notch Peak tungsten district, where scheelite-bearing skarn occurs around the contact between the Notch Peak intrusive complex and carbonate rocks.
The company plans to begin field activity in January 2027, subject to completion, permitting and access. The initial work is expected to include historical data compilation, geological mapping, validation sampling, scheelite ultraviolet surveys, portable XRF traverses and metallurgical sample collection, with the stated aim of defining drill-ready targets.
May rock-chip and grab sampling produced headline results of up to 12.25% tungsten, equivalent to approximately 15.45% tungsten trioxide, at Lone Pine. Pinnacle stresses that these were selective samples taken from visible mineralisation in historical workings and are not representative of grade, width or continuity. No Mineral Resource or Ore Reserve has been estimated for any of the Utah projects.
Placement Adds Cash but Expands the Capital Structure
Pinnacle intends to raise up to A$1.3 million at A$0.045 a share, with one free listed option for every two shares subscribed. American Tungsten & Antimony (ASX:AT4) has agreed to contribute approximately A$412,066, which would give it an expected 5.01% holding after completion and make it a substantial shareholder.
On the company’s pro forma figures, completion of the acquisition and placement would lift ordinary shares on issue from 117.2 million to 182.8 million, before any conversion of performance securities. The fully diluted total would be approximately 348.9 million securities, assuming all proposed approvals and securities issues proceed. The proposed placement is therefore not merely working capital: it materially changes Pinnacle’s ownership and incentive structure.
Funds available after completion are intended to include A$700,000 for Utah exploration, A$550,000 for the existing Wirrulla, Capel and Adina East projects, and A$1.102 million held as a cash reserve. Those figures exclude up to US$2.912 million in anniversary payments if all five claims are retained, as well as a US$1 million minimum exploration commitment over three years under the underlying Western Cobalt agreement.
Board Transition and Commercial Uncertainty
Completion would also reshape Pinnacle’s leadership. APT vendors are expected to nominate Matthew O’Kane as Managing Director and Blake Steele as a non-executive director, while current Managing Director and CEO William Witham would move to Technical Director. Witham, Stephen Ross and Aharon Zaetz would otherwise remain on the board in their stated roles.
A separate non-binding memorandum with Nexus Metals contemplates possible future toll treatment, offtake or other commercial arrangements involving the Del Sol Facility in Nevada. That pathway is conditional on Nexus securing rights to the facility and on the parties signing definitive agreements; the memorandum gives Pinnacle no access to the facility and is not a condition of the acquisition.
Pinnacle ended September with A$2.151 million in cash and no borrowings, after using A$201,000 in operating cash during the quarter. That balance supported an estimated 10.70 quarters of funding at the reported quarterly outflow, but the Utah commitments and proposed exploration pace would change the company’s cash requirements if the transaction completes. The immediate test is the annual general meeting scheduled for 30 November, followed by satisfaction of the remaining conditions and the targeted January field program.
Bottom Line?
The Utah deal offers Pinnacle a defined new exploration platform, but its value will depend on converting selective historical indications into verified targets while funding the claims and managing substantial dilution.
Questions in the middle?
- Will shareholders approve the acquisition, placement and extensive performance-security package at the 30 November meeting?
- Can Pinnacle validate the Utah sampling and establish meaningful grade continuity beyond historical workings?
- How will the company fund anniversary payments and minimum exploration commitments if it retains all five projects?
