Earth’s Energy remains suspended without a replacement recompliance asset

Energy By Maxwell Dee 3 min read

Earth’s Energy has completed its exit from its geothermal joint venture, but has yet to identify a replacement asset capable of supporting a return to the ASX board. The company ended September with A$1.613 million in cash and its securities still suspended.

  • Geothermal joint venture terminated and interests transferred for A$1
  • Final A$225,000 settlement payment made to minority shareholders
  • No suitable recompliance transaction identified during the quarter
  • A$1.613 million cash balance and estimated 3.6 quarters of funding
  • ASX suspension remains in place since 7 May 2026

Geothermal exit leaves Earth’s Energy searching for its next asset

Earth’s Energy Limited (ASX:EE1) has now severed its last formal connection to its geothermal portfolio, completing the termination of the joint venture that held exploration licences in South Australia and Queensland. The more immediate problem is what comes next: the company said it assessed multiple projects during the September quarter but found no opportunity suitable for a recompliance transaction.

The company made the final A$225,000 settlement payment to its minority shareholders and transferred its entire interest in Volt and Within for A$1. That completes the transaction outlined in the March geothermal settlement, which involved total settlement payments of A$625,000 and the transfer of Earth’s Energy’s joint venture interest.

Suspension continues with no reinstatement pathway disclosed

Earth’s Energy remains suspended from quotation, after ASX halted its securities on 7 May under Listing Rule 12.1. ASX said the company’s operations were not adequate to justify continued quotation after Earth’s Energy decided not to continue exploration spending on its geothermal licences.

The latest report gives no timetable for reinstatement and no specific replacement asset or transaction. It does, however, confirm that the company now holds no tenement interests, no stake in the former joint venture and no further payment obligations under the settlement deed.

Cash runway improves after one-off settlement cost

Earth’s Energy finished the quarter with A$1.613 million in cash, down from A$1.987 million three months earlier. Operating cash outflow was A$448,000, including the A$225,000 settlement payment, while a A$74,000 refund of a security deposit partly offset the decline.

On the quarter’s reported cash usage, the Appendix 5B implies roughly 3.6 quarters of funding. That figure is a blunt measure: the company said operating cash use should be materially lower in subsequent quarters now that the joint venture settlement is complete. Routine corporate costs continued, including A$42,062 in directors’ fees and approximately A$28,730 paid to Matador Capital for shared services and office arrangements.

November meeting is the next stated corporate milestone

Earth’s Energy is due to hold a general meeting on 12 November. Until a recompliance asset emerges and ASX is satisfied that Listing Rule 12.1 is met, the company’s cash balance is supporting a search rather than an operating exploration business. The key question is whether that search produces a transaction before the remaining runway becomes the more important number in the report.

Bottom Line?

Earth’s Energy has removed the geothermal dispute and its associated obligations, but the suspension will remain a live issue until a credible recompliance transaction is identified.

Questions in the middle?

  • What type of asset or transaction could satisfy ASX’s requirements for reinstatement?
  • How materially will quarterly cash use fall now that the A$225,000 settlement payment is complete?
  • Will the 12 November general meeting provide any clearer direction on the company’s next corporate step?
