Riversgold has lodged the final major operating proposal for its Northern Zone gold project near Kalgoorlie, with MEGA Resources committed to fund mining under a 50/50 profit-sharing arrangement. But the explorer ended September with $465,000 in cash, equivalent to just 0.63 quarters of funding on its reported burn rate.

  • Mine Development and Closure Proposal lodged with WA regulators
  • Native vegetation and haul road approvals remain outstanding
  • MEGA Resources to fund mining costs under 50/50 agreement
  • $465,000 cash at 30 September and no finance facilities
  • Proposed $233,000 placement subject to shareholder approval

Northern Zone reaches its final major approval stage

Riversgold Limited (ASX:RGL) has reached a significant regulatory checkpoint at its Northern Zone open-pit gold project east of Kalgoorlie, lodging the Mine Development and Closure Proposal with the Western Australian Department of Mines, Petroleum and Exploration on 30 September.

The proposal covers the planned pit, waste rock landform, run-of-mine pad, haul roads, water management and site infrastructure. It follows the grant of the 21-year Mining Lease M25/389 in July and the lodgment of a Native Vegetation Clearing Permit application with the Department of Water and Environmental Regulation in August. The company described the MDCP as the last major government approval required before mining can begin. The filing confirms the project has entered its final approval phase, as outlined in the final approval plan reported in September.

Mining funding is arranged, but permits are not

Riversgold says MEGA Resources will cover 100% of mining costs under the Right to Mine and Co-operation Agreement, with profits split 50/50. That structure means the company does not expect to provide upfront development funding for the future mine.

The agreement has been extended by 12 months to 30 September 2027, allowing time for the MDCP and clearing permit to be assessed and for the haul road licences to be formally granted. Objections to licences L25/75 and L25/77 have been resolved, but their grants remain pending. DMPE may also request further information during its MDCP assessment, while site establishment and mobilisation by MEGA are conditional on the necessary government approvals being in place.

Cash position leaves little room for delay

The more immediate financial issue sits outside the mine development budget. Riversgold ended the quarter with $465,000 in cash, after net operating cash outflows of $741,000. The company reported no available financing facilities and calculated its funding at 0.63 quarters based on the quarter's relevant outgoings.

Riversgold said operating cash flows are expected to reduce now that drilling at Northern Zone has concluded and work has shifted towards permit-related reports. Directors and management have firm commitments to raise $233,000 before costs on the same terms as a January 2026 placement, subject to shareholder approval at the annual general meeting on 27 November. The company also said it may seek further funding and adjust exploration spending to match its budget.

Assays and field programs provide secondary catalysts

At the Saint John copper, gold, silver and antimony project in New Brunswick, farm-in partner A.I.S. Resources completed Phase 1 diamond drilling at the Little Lepreau and Prince of Wales prospects. Samples have been sent to ALS and AGAT Laboratories, with assays still pending.

Riversgold also designed a sampling program at its Tambourah ground in Western Australia, targeting gold areas along strike from Tambourah Metals' tenure and the Hawkstone prospect's broader copper-gold trend. Consultants mobilised on 29 October, after quarter-end, to begin sampling at Tambourah and Wodgina East. The filing refers to two different tenement numbers for the Tambourah sampling area, E45/5721 and E45/5271, making the precise ground reference something to clarify in subsequent updates.

Bottom Line?

Northern Zone is closer to construction on paper, but the next approval milestones and the proposed November funding are now tightly linked to Riversgold's ability to maintain momentum.

Questions in the middle?

  • How long will DMPE and DWER take to assess the MDCP and clearing permit?
  • Will shareholders approve the proposed $233,000 placement on 27 November, and will further capital be required?
  • What will the Saint John assays and Tambourah sampling reveal about Riversgold's secondary exploration assets?
