ADX lines up A$5.2 million for Austrian oil and gas growth
ADX Energy has launched a discounted 2-for-5 renounceable rights issue targeting up to A$5.2 million, with proceeds aimed at Vienna Basin production work and new Austrian gas activity. The raise is only partially underwritten, while the prospectus warns that failure to complete it would create significant going-concern uncertainty.
- 2-for-5 rights issue priced at 1.2 cents per share
- Up to A$5.2 million before costs, with only A$1 million underwritten
- Funds earmarked for Vienna Basin work, HOCH-1 testing and GOLD-1 drilling
- One free 2.5-cent option for every two shares subscribed
- Non-participating shareholders face potential dilution of about 28.57%

A$5.2 million raise targets Austrian production and drilling
ADX Energy Ltd (ASX:ADX) is asking shareholders to fund the next leg of its Austrian oil and gas programme, launching a 2-for-5 renounceable rights issue at 1.2 cents per share. The offer could raise up to A$5.2 million before costs, although only A$1 million has been partially underwritten by Mahe Capital.
For every two new shares subscribed, eligible shareholders will receive one free option exercisable at 2.5 cents on or before 31 December 2028. ADX intends to seek ASX quotation for the new options, which could provide a further source of cash if exercised but also add to the company’s future potential share count.
Funding priorities centre on three Austrian work programmes
At full subscription, the largest allocation is A$3.53 million for drilling, testing and completing the GOLD-1 shallow gas well, equivalent to almost 68% of gross proceeds. A further A$674,603 is earmarked for Vienna Basin well work, while A$218,254 is allocated to Phase 2 production testing at the HOCH-1 gas discovery.
The capital is being raised as ADX advances a programme that has already included a HOCH-1 multi-zone test, which previously produced a reported combined flow of 3.15 million cubic feet per day from four zones. The company has also pointed to potential Vienna Basin production gains from further well work, but the prospectus does not provide a production forecast for the funded programme.
ADX’s recent operational update also described GOLD-1 drilling as targeted for the end of 2026, after a potential funding arrangement with Empyrean Energy for the GOLD prospect. The new issue would give ADX funding to proceed with the well if the maximum raise is achieved; under the minimum A$1 million subscription, the prospectus says the company would instead seek a farm-in partner for GOLD-1 and reduce other spending.
Partial underwriting leaves the final raise uncertain
The offer is priced at a 29.4% discount to ADX’s 1.7-cent closing price on 30 October and a 33% discount to its 30-day volume-weighted average price. Rights trading is due to begin on 4 November, with the offer scheduled to close on 25 November unless extended.
That discount may help participation, but the underwriting covers less than one-fifth of the maximum target. If the offer raises only its A$1 million minimum, ADX expects to scale back Vienna Basin and corporate spending and rely on a partner for GOLD-1. The prospectus says operational objectives could be delayed or materially changed if the issue is not fully subscribed.
Prospectus flags going-concern and dilution risks
The prospectus carries an unusually direct warning for shareholders: ADX’s half-year report contained a material uncertainty about its ability to continue as a going concern, and the company says significant uncertainty would remain if the offer were not completed successfully. Even after a successful raise, ADX says further funding is highly likely to be needed for medium- to long-term working capital.
Shareholders who do not participate are likely to see their ownership diluted by about 28.57% if the new shares are issued. If all attaching options are later issued and exercised, the prospectus estimates aggregate dilution of about 37.5%. The document also identifies a disputed EUR4.2 million claim, plus an additional penalty and interest invoice of approximately A$144,649, linked to the Parta exploration licence in Romania.
Directors intend to participate as execution becomes the test
ADX’s directors have said they intend to take up their entitlements. Executive chairman Ian Tchacos said the fundraising would allow the company to increase production from its producing fields and fund shallow gas projects, adding that a successful workover, testing and drilling programme “has the potential to deliver multiples of production growth in a short time frame” (ASX:ADX).
That potential now sits against a straightforward financing test. Investors will need to gauge whether shareholder demand can lift the raise materially above its A$1 million underwriting floor, and whether the resulting funds translate into measurable production or testing progress before the option-heavy capital structure becomes the more immediate story.
Bottom Line?
The near-term catalyst is not simply whether ADX raises money, but how far above the A$1 million underwriting floor it gets and what the funded Austrian work delivers.
Questions in the middle?
- Will shareholder participation take the raise close to its A$5.2 million maximum or leave GOLD-1 dependent on another partner?
- Can Vienna Basin well work and HOCH-1 testing produce measurable operating gains on the proposed budget?
- Will future option exercises provide useful funding or make dilution the dominant shareholder concern?
