A$145 million Capital Markets sale reaches completion
Euroz Hartleys Group Limited (ASX:EZL) has completed the transaction that will fundamentally reshape the company, selling its Capital Markets business to BMO Financial Group for A$145 million in cash, subject to completion adjustments. The deal, first announced in the June BMO sale proposal, removes the capital markets operation from the ASX-listed group and leaves Euroz Hartleys focused on private wealth.
The transaction also activates a strategic alliance with BMO, alongside trading, clearing and settlement arrangements and transitional services agreements. The announcement does not quantify the financial contribution those arrangements may make to the remaining business, but they are intended to preserve an ongoing relationship between the two groups.
Shareholders are set for a substantial cash distribution
Euroz Hartleys plans to return the post-tax net proceeds to shareholders through two channels: a fully franked special dividend and an equal return of capital. The company currently anticipates an aggregate distribution of approximately “$0.614 cents per share”, using the wording in its announcement, although the final amount has not yet been confirmed.
That figure remains subject to month-end procedures, completion adjustments and the final allocation between the dividend and capital return. Euroz Hartleys says it will provide a further update with the confirmed amounts and payment timetable, making that announcement the next immediate financial catalyst for shareholders.
Private wealth becomes the standalone business
After completion, Euroz Hartleys continues as an independent ASX-listed wealth manager under the Euroz Hartleys and Entrust brands. It has approximately A$5 billion in funds under management, around 60 advisers and a 71-year history serving individuals, family offices and ultra-high-net-worth clients.
The company says the narrower structure gives it more direct control over capital allocation and greater flexibility to invest in advisers, technology, client outcomes and future growth initiatives. That also creates the central question for the post-sale business: how effectively can the wealth operation grow after the capital markets earnings stream has left the group?
Leadership changes take effect alongside completion
Alan Logan has taken over as chief executive, while Andrew Fry and Michael Bartley have joined the board. The leadership reset was outlined in the Alan Logan appointment, as Euroz Hartleys prepared to complete the BMO transaction. Robin Romero and Fiona Kalaf are departing the board, while Andrew McKenzie and Tim Bunney will remain as non-executive directors as they transition to BMO.
Bottom Line?
The sale has converted a strategic transaction into a measurable shareholder return, but the final distribution and the earnings profile of the standalone wealth manager are still to be pinned down.
Questions in the middle?
- What will the final special dividend and return-of-capital amounts be after completion adjustments?
- How much recurring earnings power will remain once the Capital Markets business is excluded?
- Can the BMO alliance support private wealth growth without diluting Euroz Hartleys’ independence?
