Golden Horse maps a new path for its Sorrel copper project

Golden Horse Minerals plans to separate its Northern Territory copper assets from its Western Australian gold business through a court-approved Canadian arrangement. Shareholders would retain their Golden Horse shares and receive Sorrel Metals shares, but the transaction still requires approval and leaves funding, tax and listing questions unresolved.

  • Proposed pro rata distribution of Sorrel Metals shares to Golden Horse shareholders
  • Sorrel Copper Project carries an inferred 88,000 tonnes of contained copper
  • Transaction needs 66 2/3% shareholder approval and British Columbia Supreme Court approval
  • Sorrel Metals may seek exploration funding, with no future ASX listing assured
  • Completion is currently expected in early 2027

Sorrel Copper Project Set for Separate Ownership

Golden Horse Minerals Limited (ASX:GHM) is proposing to split its copper and gold assets into two separate companies, handing shareholders a pro rata in-specie distribution of shares in newly created Sorrel Metals Limited. The arrangement would leave investors’ existing Golden Horse holdings unchanged while giving them direct exposure to the Northern Territory’s Sorrel Copper Project through the new public unlisted entity.

The company says the move is intended to let Golden Horse concentrate on its flagship Southern Cross Gold Project in Western Australia while giving Sorrel a dedicated copper-focused structure and separate funding strategy. Managing director and chief executive Nicholas Anderson said the company believed the timing was appropriate with copper prices “now well over US$6/lb”, although that statement represents management’s rationale rather than a guarantee of future copper prices or project value.

Existing Resource Comes with a Large Exploration Footprint

Sorrel has an existing inferred mineral resource estimate of 8.4 million tonnes at 1.1% copper, containing 88,000 tonnes of copper metal. Golden Horse also points to historical production of 170,000 tonnes at 4.6% copper from the Sandy Flat open pit, which closed in 1996 after falling copper prices.

The exploration story remains early-stage. More than 50 copper-bearing breccia pipe targets have been identified, but only seven have been drill tested, and more than 40 remain untested. Golden Horse’s geological review has also identified potential for copper-cobalt, rare earth elements, zinc, lead and uranium mineralisation across the broader tenure. The project’s potential has featured in the company’s Sorrel multi-metal review, but the current resource is inferred and the untested targets do not establish an economic development case.

Shareholder and Court Approvals Still Required

The spin-out would proceed under a plan of arrangement governed by British Columbia’s corporate law. It requires approval from at least 66 2/3% of votes cast at a Golden Horse shareholder meeting, as well as approval from the British Columbia Supreme Court and any other required regulators or third parties.

Golden Horse expects the shareholder meeting to take place in late December 2026 or early 2027, with completion currently targeted for early 2027. The board unanimously recommends the transaction, and directors and senior management intend to vote their shares in favour. Those commitments do not remove the central execution risk: the company says there is no assurance that the approvals will be obtained or that the spin-out will complete on its proposed terms.

Valuation, Tax Treatment and Future Funding Remain Open

Golden Horse is obtaining an independent valuation of Sorrel and Sorrel Metals to help determine an appropriate post-spin-out share price. It is also seeking an Australian Taxation Office Class Ruling on the tax treatment of the in-specie distribution, including whether any part is treated as a dividend or a return of capital. The final ruling is not expected until after implementation, leaving the eventual tax outcome unresolved for relevant shareholders.

Sorrel Metals expects to seek funding for exploration after the transaction, but no capital-raising terms have been set. Nor is a future ASX listing assured: that decision will rest with the Sorrel Metals board and remain subject to regulatory requirements. For shareholders, the proposed structure therefore offers continued exposure to copper without an immediate cash outlay, while also creating a new company whose valuation, liquidity and funding needs will have to be established from scratch.

Bottom Line?

The proposal separates Golden Horse’s gold focus from Sorrel’s copper ambitions, but the investment case will turn on the independent valuation, tax ruling, shareholder vote and Sorrel Metals’ eventual funding terms.

Questions in the middle?

  • What valuation will be assigned to Sorrel Metals and how will the in-specie distribution be measured?
  • Will shareholders approve the arrangement once the tax treatment and transaction details are disclosed in the meeting circular?
  • Can Sorrel Metals secure exploration funding without an assured ASX listing or defined capital-raising terms?
