Macmahon has completed its A$75 million acquisition of Aspect Engineering Solutions after the ACCC confirmed the transaction did not require notification. The mining services group expects the deal to be underlying EPS accretive from inception, before synergies, as it builds an engineering and minerals processing platform.
- ACCC waiver and all other completion conditions satisfied
- A$75 million headline enterprise value at approximately 5.0x FY26 EBIT
- Aspect generated approximately A$75 million revenue and A$15 million EBIT in FY26
- Indicative underlying EPS accretion of approximately 6.2% before synergies
- Consideration includes A$30 million upfront cash and performance-linked payments
ACCC waiver clears Aspect transaction
Macmahon Holdings Limited (ASX:MAH) has completed its acquisition of Aspect Engineering Solutions after the Australian Competition and Consumer Commission confirmed on 20 October that the transaction did not need to be notified. Macmahon also said all other conditions precedent had been satisfied, closing the main execution gap attached to the original Aspect acquisition announced in September.
The acquisition gives Macmahon a broader presence across front-end and detailed engineering, project delivery, minerals processing, and operations and maintenance. Those capabilities sit alongside its established surface mining, underground mining and civil infrastructure operations, allowing the group to participate across more stages of a mining project.
Aspect adds engineering and processing capability
Macmahon said Aspect has already started working with its operating companies on current and future opportunities. The stated ambition is to combine Aspect’s technical expertise with Macmahon’s project delivery infrastructure, operating footprint and client relationships, offering services that run from concept and feasibility through engineering, construction, mining, processing and maintenance.
That is the strategic logic behind the transaction: not simply adding another contractor, but creating a more integrated service proposition. Whether that produces longer-term client relationships or additional work will depend on the opportunities that move from collaboration into contracted delivery.
Payment structure limits upfront cash exposure
Aspect generated approximately A$75 million of revenue and A$15 million of EBIT in FY26, based on unaudited figures at 30 June 2026. Macmahon’s headline enterprise value of A$75 million therefore equates to approximately 5.0 times FY26 EBIT, although the final consideration can rise if performance hurdles are exceeded.
The structure comprises A$30 million in upfront cash, subject to customary working-capital adjustments, plus A$30 million in retention-linked payments spread across five annual A$6 million instalments. A further earn-out of A$15 million is payable if base-case hurdles are met, rising to a maximum of A$30 million if outperformance hurdles are achieved.
EPS accretion now moves into execution
Macmahon expects the acquisition to be underlying EPS accretive from inception, with indicative accretion of approximately 6.2% before synergies. That estimate is based on the transaction assumptions disclosed by the company, while Aspect’s FY26 financial figures remain unaudited and the announcement provides no detailed post-completion earnings guidance.
The next test is therefore operational rather than regulatory: how quickly Aspect contributes to Macmahon’s earnings, whether the combined teams convert their pipeline of opportunities, and whether any synergies emerge beyond the initial accretion case. Subsequent reporting should provide the first hard evidence on those points.
Bottom Line?
The acquisition is now complete; the investment case turns on converting a broader service offering into measurable earnings and durable project wins.
Questions in the middle?
- How much of the projected 6.2% underlying EPS accretion will be visible in Macmahon’s next reporting period?
- Can the early collaboration between Aspect and Macmahon produce new contracted work rather than remain an internal capability initiative?
- What working-capital adjustments and future earn-out payments will ultimately take the transaction cost above its A$75 million headline enterprise value?
