Indigo Transaction Consideration Reduced
Dart Mining NL (ASX:DTM) has agreed to cut the consideration for four Victorian projects being sold to Indigo Metals from A$7.1 million to A$4 million, a material reset to a transaction that remains conditional on Indigo securing an ASX listing.
The revised package comprises A$2 million in cash, 10 million Indigo shares issued at a deemed A$0.20 each, and a 2.5% net smelter revenue royalty on antimony produced from the Sandy Creek and Tallandoon projects. The cash component includes A$1.2 million payable shortly after Indigo’s admission to the ASX official list and a further A$800,000 tied to a future Mineral Resource milestone.
Cash Milestone Adds Execution Risk
The contingent A$800,000 will only become payable after announcement of a JORC-compliant Mineral Resource of at least 100,000 ounces of gold equivalent across Corryong, Sandy Creek and Tallandoon, or a 25% increase in contained molybdenum equivalent at Mt Unicorn against the resource estimate reported at 2 November 2026. That makes the final cash outcome dependent on exploration and resource work still to come.
Dart said its board accepted the lower consideration to support Indigo’s IPO amid changed market sentiment, while maintaining that the adjustment did not represent a reassessment of the projects. The proposed Indigo shares and antimony royalty are intended to preserve Dart’s exposure to any value generated by future work, although the shares’ eventual market value is not established by the deemed issue price.
Fresh Votes and IPO Admission Required
The amended deal also gives Dart a right of first refusal over any diamond drilling programme at Mt Unicorn or Hidden Dome that Indigo or its related entities propose to undertake and fund. Indigo must pay a further non-refundable A$50,000 deposit, taking deposits received or agreed to date to A$250,000, while the deed will terminate if completion has not occurred by 26 February 2027 unless both parties agree otherwise.
Completion still depends on ASX notifying Indigo of its intention to admit the company to the official list and Dart shareholders approving the revised terms under ASX Listing Rule 11.4. The original transaction was approved in August, but the changed consideration means shareholders will vote again at Dart’s annual general meeting on 25 November.
The reduced proceeds do not alter Dart’s planned Walwa and Triumph exploration programmes, which the company says are funded from existing cash reserves and the A$2 million placement announced in August. That funding position has already been a live issue for the explorer: the capital-raising tranche reported in late October still required shareholder approval. The separate vote on the tranche is scheduled for 10 November, adding another near-term decision point before the Indigo terms reach the AGM.
Bottom Line?
The transaction now offers less upfront value and more conditional exposure, leaving Dart shareholders to weigh near-term funding support against IPO, milestone and Indigo share-price risk.
Questions in the middle?
- Will Indigo secure ASX admission by the February 2027 completion deadline?
- How likely is the A$800,000 Mineral Resource milestone to be achieved?
- What value and liquidity will Dart’s 10 million Indigo shares and antimony royalty ultimately carry?
