A$5.325 Million Raise Targets Debt Reduction
Schoolblazer Limited (ASX:SBZ) is turning to shareholders for another balance sheet repair, securing binding commitments to raise A$5.325 million through a placement priced at A$0.10 a share. The company said the proceeds will fund partial repayment of its IFM debt facility, working capital and offer costs.
The raise follows a A$15.0 million reduction in term debt from existing cash during September. Schoolblazer said the combined actions had materially reduced its outstanding debt and positioned the business for FY27, although the announcement does not disclose the remaining balance of the IFM facility or the expected effect on interest costs.
Discounted Issue Includes Director Funding
Approximately 53.3 million new shares will be issued at a 13.0% discount to Schoolblazer's A$0.115 closing price on 29 October, the last trading day before the trading halt. Institutional investors supported the placement, while directors committed A$1.75 million, subject to shareholder approval.
The capital restructuring comes after A$110 million debt facility was finalised in June, with the earlier transaction fully repaying Schoolblazer's previous banking arrangements. Today's placement is a smaller equity measure, but it adds another source of debt reduction as the group manages a global schoolwear and sportswear operation across the UK, Australia and New Zealand.
Tranche One Settles Before December Vote
The first tranche will issue 14.4 million shares and raise approximately A$1.44 million using existing placement capacity. The remaining approximately 38.8 million shares include the director participation and a further A$2.13 million placement that does not require approval. Schoolblazer expects the second tranche to settle after a general meeting in December, where shareholders will vote on the directors' participation.
The immediate question is how much of the raise ultimately reaches debt reduction rather than working capital and transaction costs, and what the post-placement capital structure looks like once both tranches are complete. The answer should become clearer after the December meeting and the company's next update on debt.
Bottom Line?
The placement improves Schoolblazer's funding position on the company's stated plan, but the investment case now depends on the debt balance left after settlement and the vote on director participation.
Questions in the middle?
- What will Schoolblazer's IFM debt balance and interest burden be after the placement settles?
- Will shareholders approve the A$1.75 million director participation in December?
- How quickly can the business convert the strengthened balance sheet into the FY27 performance outlined by management?
