Simble Secures Funding to Push NanoSensor Towards Commercial Testing

Energy and Sustainability Technology By Victor Sage 3 min read

Simble Solutions has secured binding commitments for a $1.0 million placement to fund its NanoSensor evaluation program, existing software businesses and working capital. The raise also brings potential option-related dilution and requires shareholder approval for several components.

  • $1.0 million placement at $0.0035 per share
  • 285.7 million shares to be issued under Listing Rule 7.1
  • One attaching option per share proposed, subject to approval
  • Directors intend to contribute up to $205,000
  • Funds directed to NanoSensor development, growth and working capital

Placement Targets NanoSensor Funding

Simble Solutions Limited (ASX:SIS) has secured binding commitments for a $1.0 million placement, giving the energy and sustainability software company fresh capital to advance its NanoSensor technology while continuing to fund SimbleSense, CarbonView and day-to-day operations.

The placement will issue 285.7 million fully paid ordinary shares at $0.0035 each, a 12.5% discount to Simble’s 15-day trading VWAP to 28 October. The shares will be issued under the company’s existing ASX Listing Rule 7.1 capacity and will rank equally with existing ordinary shares.

NanoSensor Programme Moves Into Funded Evaluation

The capital arrives as Simble’s NanoSensor work remains in an evaluation and benchmarking phase. The company has previously described initial laboratory detection across ultraviolet and visible wavelengths, while its NanoSensor UV benchmarking has been assessing performance characteristics rather than demonstrating commercial revenue.

Simble says the funds will support development of the technology, alongside growth capital for its existing businesses and working capital. The announcement does not provide a revenue forecast, customer commitment or expected commercial return from the NanoSensor programme, leaving technical progress and eventual validation as the key measures of what the new funding achieves.

Options and Director Participation Add Approval Risk

Investors are also expected to receive one free attaching option for every placement share, subject to shareholder approval. That would create 285.7 million options exercisable at $0.007 each for four years from issue, adding a potential future source of equity dilution if exercised.

Directors Faldi Ismail and Fadi Diab intend to participate for up to an aggregate $205,000 on the same terms as other investors. Their share and option allocations require approval under ASX Listing Rule 10.11, while shareholder approval is also needed for the placement options and the broker options.

Capital Raising Costs and Next Milestones

Lead manager 62 Capital will receive a 6% fee on the amount raised and, subject to approval, 50 million options on the same terms as the placement options. The placement shares are scheduled for settlement on 30 November and issue on 1 December, with the remaining approvals expected to be considered at a general meeting in late December.

The immediate question is not simply whether Simble has raised the money, but how efficiently it converts that money into evidence around NanoSensor performance and commercial potential. The company has not disclosed its pre-placement share count or cash balance, so the eventual dilution from the shares and potential options cannot yet be assessed in full.

Bottom Line?

The raise funds Simble’s next NanoSensor testing phase, but shareholder approvals and measurable technical or commercial progress will determine whether the capital strengthens more than the balance sheet.

Questions in the middle?

  • What performance results will Simble disclose from the funded NanoSensor evaluation programme?
  • How large will the placement represent relative to Simble’s existing issued share capital?
  • Will shareholders approve the attaching options, director participation and broker options in late December?
