Cynata secures another $550k as entitlement offer closes

Biotechnology By Ada Torres 3 min read

Cynata Therapeutics has completed its $912,962 entitlement offer and secured firm commitments for a further $550,000 placement. The second raise still requires shareholder approval and will bring additional shares and options into an already heavily funded capital structure.

  • $912,962 raised through the fully underwritten entitlement offer
  • Firm commitments for approximately 55 million placement shares at $0.01
  • Placement includes one attaching option for every three shares
  • Shareholder approval required before the placement and fee options are issued
  • Funds earmarked for potential new assets, offer costs and working capital

Cynata secures another $550,000 after completing entitlement offer

Cynata Therapeutics Limited (ASX:CYP) has finished its fully underwritten entitlement offer with approximately $912,962 raised before costs, and now has firm commitments for a further $550,000 placement. The additional funding would take gross proceeds from the two-stage raise to roughly $1.46 million, before fees and other expenses.

The completed offer follows a weak shareholder take-up, with just 25.8% of entitlements subscribed and the underwriter stepping in to cover the shortfall in the underwritten entitlement offer. The latest announcement confirms that the shortfall has been completed, rather than merely proposed.

Placement adds shares, options and approval risk

The proposed placement involves approximately 55 million new fully paid ordinary shares at $0.01 each. For every three placement shares issued, investors will receive one free attaching option exercisable at $0.02 and expiring on 3 May 2029. On the announced share estimate, that equates to roughly 18.3 million attaching options, although the final number will depend on the securities issued.

Caravel Securities, which underwrote the entitlement offer, will lead-manage the placement and receive a 6% fee on the amount raised, along with six million options on the same terms as the placement attaching options. The placement, its attaching options and the fee options all require shareholder approval at a general meeting to be held as soon as practicable.

New asset strategy moves back into focus

Cynata says the placement proceeds will provide greater flexibility to pursue potential transactions for rights to new assets, while also covering offer costs and working capital. That marks a more expansive use of funds than simply maintaining the company’s existing operations, although no proposed asset or transaction has been identified in the announcement.

Three related parties have committed to participate: chairman Dr Geoff Brooke for $25,000, director Dr Kilian Kelly for $15,000 and director nominee Geoff Pocock for $20,000. The commitments total $60,000 and remain part of the placement that shareholders must approve.

The funding decision sits alongside Cynata’s stated review of development pathways and strategic options for its Cymerus platform. With the company seeking both value from that technology and rights to new assets, the next material test is whether shareholder approval converts the commitments into cash and whether management can identify a transaction capable of giving the newly raised capital a clearer destination.

Bottom Line?

The cash target is now within reach, but the placement remains conditional and its strategic value depends on what new asset, if any, Cynata ultimately secures.

Questions in the middle?

  • Will shareholders approve the placement and the additional option issues at the forthcoming general meeting?
  • What final level of dilution will result once the placement shares, attaching options and fee options are issued?
  • Can Cynata identify a new asset transaction before its fresh working capital is absorbed by ongoing costs?
