ASX investigates takeover details published before release
Ingenia Communities Group (ASX:INA) has denied providing confidential takeover information to the media before it was released to the market, but has not been able to determine how the details appeared in Australian Financial Review articles. The response follows an ASX request concerning possible breaches of Listing Rules 3.1 and 15.7 during the competing approaches from AVID Property Group and Warburg Pincus.
The timing was the central issue. An article published at 9:45am AEDT on 26 October referred to AVID having tabled an offer and Warburg Pincus pursuing exclusivity at $5.25 per security. Ingenia lodged its AVID announcement at 9:50am and ASX released it at 9:57am. A second article appeared at 8:43am on 28 October, ahead of Ingenia lodging its next announcement at 9:53am and its release at 9:56am.
Ingenia says internal enquiries found no source
Ingenia said it obtained written confirmation from each director, executive team member, financial adviser and legal adviser that they had not provided statements or information to the media, either on or off the record or under embargo. The company also said it was unaware of any other explanation for the publication of the information.
The articles concerned the same contest that produced the higher AVID takeover proposal and Warburg Pincus’s revised $5.45-per-security proposal. Ingenia said drafts had been supplied under contractual confidentiality obligations to AVID, Warburg Pincus and Peet, the counterparty to its separate transaction. Those parties, along with their advisers and financiers, were also subject to confidentiality requirements.
Disclosure controls put under renewed scrutiny
Ingenia told ASX it has an authorised-spokesperson policy, restricted access to price-sensitive information and confidentiality obligations covering the transaction parties. Its advisers had also prepared a leak strategy for a potential control transaction, including media and trading monitoring and advance preparation of draft announcements.
The company said its existing arrangements were adequate, but acknowledged that the appearance of the information before the announcements was a concern. It has reminded, and continues to remind, directors, employees, advisers, AVID, Warburg Pincus and Peet of their confidentiality and continuous disclosure obligations. The response was approved under Ingenia’s policy and by its board.
No ASX finding or penalty has been disclosed
ASX’s letter said the timing appeared capable of raising issues under Listing Rule 15.7, which prevents an entity from giving market-bound information to any person before ASX has released it, and Listing Rule 3.1, which requires immediate disclosure of information likely to materially affect securities. The correspondence does not establish that Ingenia breached either rule, nor does it disclose an ASX enforcement decision or penalty.
The unresolved point is therefore not whether the takeover contest was material, but how closely confidential information circulated before formal release. With the AVID and Warburg Pincus proposals still central to Ingenia’s strategic direction, any further ASX correspondence could matter as much for process credibility as for compliance.
Bottom Line?
Ingenia has answered ASX’s questions without identifying a leak; the next meaningful development would be any regulatory determination or further disclosure about the competing proposals.
Questions in the middle?
- Will ASX make a finding on the possible Listing Rule 3.1 or 15.7 issues, or close the review without action?
- Can Ingenia identify how proposal details reached the media despite its stated confidentiality controls?
- How will renewed disclosure restrictions affect the pace and transparency of the AVID and Warburg Pincus processes?
