Percheron Therapeutics has lodged a prospectus for up to 280 million options linked to its earlier $2.3 million placement, with the securities carrying a $0.01 exercise price and expiring in April 2028. The filing raises no meaningful cash on issue, but could provide up to $2.8 million if all options are later exercised while adding a potentially dilutive layer to the capital structure.
- Up to 280 million options offered to placement participants and lead managers
- $0.01 exercise price with expiry on 15 April 2028
- Potential exercise proceeds of approximately $2.8 million before costs
- Shares issued on exercise could represent about 12% of the post-offer share count
- Prospectus flags material going-concern and future funding risks
280 million options formalise Percheron’s placement securities
Percheron Therapeutics Limited (ASX:PER) has lodged a transaction-specific prospectus covering up to 280 million new options issued in connection with its previously announced capital raising. The offer comprises 230 million free-attaching options for placement participants and 50 million broker options for Blue Ocean Equities and Cygnet Capital, or their nominees, as part consideration for lead manager and bookrunner services.
The prospectus follows the company’s $2.3 million September placement, which involved shares issued at $0.005 each and options attached on a one-for-two basis. The new options are not being offered to the general public: eligibility is limited to participants in that placement and the joint lead managers.
Exercise proceeds depend on future share price
Each option is exercisable at $0.01 and expires at 5pm Melbourne time on 15 April 2028. No funds will be raised from the placement options when they are issued, while the broker options would raise only $500 if fully subscribed. The more consequential figure is prospective: if all 280 million options are eventually exercised, Percheron would receive approximately $2.8 million before costs.
Percheron says those exercise proceeds would be directed towards further development of its lead asset HMBD-002 and general working capital. That outcome is not assured. Options have value only if the underlying shares trade above the exercise price, and the company warns that some or all of the options may expire unexercised.
Potential dilution sits alongside the clinical funding plan
If the offers are fully subscribed and no other securities are issued, Percheron’s share count would remain at 1.982 billion immediately after the option issue. But exercise of all 280 million new options would result in shares equivalent to about 12% of the post-offer share count, according to the prospectus. The company says the offers themselves are not expected to change control.
The prospectus also assumes that 294.99 million existing PERAQ options become quoted, taking total quoted options including the new securities to about 575 million. Percheron’s latest clinical financing story is tied to FDA clearance for the Vanderbilt AML trial, an early-stage HMBD-002 study intended to test the drug with venetoclax and azacitidine.
ASX quotation and going-concern warnings remain key conditions
Percheron intends to seek ASX quotation for the new options, but says quotation is conditional on meeting exchange requirements, including minimum holding and marketable-parcel thresholds. If those requirements are not met, the options may still be issued as unquoted securities, with no public market. The prospectus also states that the options will be freely transferable if quoted, but generally not transferable without company approval if unquoted.
More significant than the relatively small cash raised on issue is the risk disclosure. Percheron says it is loss-making and not cash-flow positive, and records that its 30 June 2026 accounts contained a material uncertainty related to going concern. The filing says the company will require further financing to develop and commercialise its products, while pharmaceutical research, regulatory approvals, licensing relationships and clinical development remain uncertain and expensive.
Bottom Line?
The prospectus turns the placement’s attached options into a formal, potentially tradeable security, but the investment case still depends on ASX quotation, future exercise demand and Percheron’s ability to fund HMBD-002 beyond its current financing cycle.
Questions in the middle?
- Will ASX approve quotation of the new options, and will a functioning market develop if they are listed?
- How many of the 280 million options will ultimately be exercised before April 2028?
- Can Percheron advance HMBD-002 while avoiding another dilutive capital raising?
