Sysco Corporation (NYSE:SYY) kept its central earnings promise intact, but trimmed the shine from its top-line outlook: management still expects fiscal 2027 adjusted EPS growth of 9% to 11% and local volume growth of about 2.5%, while now placing full-year sales growth at the lower end of its 6% to 7% range. The foodservice distributor also made Brandon Sewell permanent chief financial officer, ending an interim assignment that began in March.
Fiscal Q1 Growth Came With a Lower Sales Ambition
For the 13 weeks ended September 26, Sysco reported sales of US$21.7 billion, up 2.8% year on year. U.S. Foodservice case volume rose 2.6%, with local volume up 2.7%, while gross profit increased 3.8% to US$4.1 billion and gross margin expanded 18 basis points to 18.6%.
The more comparable adjusted figures were positive but hardly explosive. Adjusted operating income rose 3.2% to US$927 million, adjusted net earnings increased 4.2% to US$574 million and adjusted diluted EPS climbed 3.5% to US$1.19. Sysco said the result reflected positive volume, margin expansion and expense discipline despite softer restaurant foot traffic, higher fuel costs and lower-than-expected U.S. food cost inflation.
Jetro Costs Distorted the Reported Profit Line
GAAP operating income fell 10.4% to US$717 million as acquisition-related costs connected with the proposed Jetro Restaurant Depot deal weighed on the quarter. The statutory result was also lifted by a US$234 million gain on deal-contingent interest-rate lock transactions linked to financing the transaction, helping net earnings rise 10.5% to US$526 million and diluted EPS reach US$1.09.
That accounting noise explains the wide gap between the GAAP and adjusted numbers. Sysco excluded US$108 million of acquisition-related costs, US$102 million of restructuring and transformation costs, and other transaction-related items in its adjusted operating result. The proposed acquisition remains subject to closing conditions and regulatory approvals, so the costs and financing effects are likely to remain part of the earnings narrative until the transaction is completed or otherwise resolved.
Permanent CFO Appointment Adds Continuity Before Deal Integration
Sewell, who has spent 12 years at Sysco and previously led finance for its U.S. business, was appointed executive vice president and CFO effective November 1. His approved package includes a US$775,000 annual base salary, a target annual incentive equal to 125% of salary, a target long-term incentive award equal to 350% of salary, and one-off equity awards with aggregate target values of US$1.5 million.
Sysco ended the quarter with US$3.2 billion in cash, US$5.8 billion of total liquidity and net debt equal to 2.4 times trailing adjusted EBITDA. Operating cash flow was US$278 million and free cash flow was US$230 million, while the company returned US$264 million through dividends. The balance sheet gives the planned acquisition room to manoeuvre, but the next test is whether the promised AI-enabled cost savings, including US$100 million in fiscal 2027, arrive quickly enough to offset muted demand and transaction-related pressure.
Bottom Line?
Sysco has preserved its earnings targets, but the lower-end sales outlook and acquisition-related accounting make execution in the second half of fiscal 2027 the key test.
Questions in the middle?
- Can Sysco deliver the promised US$100 million of fiscal 2027 AI-enabled savings as benefits accelerate in the second half?
- When will the Jetro Restaurant Depot transaction close, and what final financing or regulatory conditions could affect leverage?
- Will local volume growth remain near 2.5% if restaurant foot traffic stays soft and food cost inflation remains subdued?
