Convertible notes removed ahead of pivotal ALS data
Neurizon Therapeutics Limited (ASX:NUZ; OTCQB: NUZTF) is heading into its most important clinical milestone with a cleaner capital structure and a fresh equity funding target of $6.3 million. The biotechnology company says all remaining Obsidian convertible notes have now been redeemed, removing the prospect of further note conversion ahead of expected topline results from the NUZ-001 HEALEY ALS Platform Trial in late Q2 CY2027.
The financing consists of a $4.3 million placement at 6.8 cents a share, alongside a proposed $2 million Share Purchase Plan for eligible shareholders at the same price. The placement was backed by new and existing institutional, sophisticated and professional investors, while the SPP remains a target rather than a guaranteed amount. The terms also include one free option for each new share, exercisable at 12 cents and expiring 18 months after issue, subject to shareholder approval.
Equity replaces Obsidian conversion risk
The presentation released ahead of Neurizon’s investor webinar frames the transaction as a shift away from convertible funding and towards equity. The company says 1.75 million notes have been redeemed in total out of 3.5755 million issued, leaving no Obsidian convertible notes outstanding. Its earlier Obsidian note redemption had already reduced the lender’s exposure and included a standstill on share sales.
Neurizon says the capital structure change removes uncertainty around potential note conversion and that the company is fully funded through the HEALEY topline results. That claim sits alongside a caveat in the presentation: one further facility drawdown may be required before the readout, not earlier than April 2027, and only with shareholder approval. The company says alternative funding avenues are being assessed as a possible replacement.
NUZ-001 trial remains the main value inflection
NUZ-001 is being tested in a 250-participant Phase 2/3 Regimen I study within the HEALEY ALS Platform Trial. Neurizon says the regimen enrolled in less than five months and remains on track for topline results in late Q2 CY2027. The expected dataset is described as the first randomised efficacy readout for NUZ-001, making the clinical result more consequential than the financing announcement itself.
The company’s presentation also points to FDA Type C feedback indicating that Regimen I could potentially serve as a single registrational study, subject to substantial evidence of effectiveness. That is a conditional regulatory possibility, not an approval decision. As reported in the FDA single-trial pathway, any route towards traditional approval still depends on positive trial results and the regulator’s assessment of the evidence.
Funding runway meets a growing catalyst list
Alongside the HEALEY readout, Neurizon lists several nearer-term workstreams, including further preclinical data, an NIH-funded expanded access programme, manufacturing activity, an FDA Type D meeting and the expected Australian R&D tax rebate. The expanded access programme is planned to support up to 200 patients for as long as 96 weeks, although its continuation beyond the trial readout depends on a positive outcome.
The immediate investor questions are less about whether Neurizon has a catalyst than whether the new funding structure carries it cleanly to that catalyst. SPP participation, shareholder approvals for director participation and options, and the availability of alternative funding will determine how much of the proposed capital is ultimately secured and how much future dilution remains possible.
Bottom Line?
Neurizon has removed a major source of conversion uncertainty, but the funding plan is not fully settled until the SPP, approvals and any need for further capital are resolved before the HEALEY readout.
Questions in the middle?
- How much of the proposed $2 million SPP will Neurizon ultimately raise?
- Will alternative funding remove the need for a further facility drawdown before April 2027?
- Can the fully enrolled HEALEY trial produce the positive evidence required to support the potential single-trial regulatory pathway?
