Trading resumes after $2.37 million placement
Northstone Resources Limited (ASX:NRL) has returned to the ASX board with an oversubscribed $2.37 million capital raising, giving the Serbian-focused explorer funding for its next set of technical and exploration milestones. ASX Supervision said trading in NRL securities would resume immediately after the capital raising announcement, bringing an end to the voluntary suspension that had kept the terms of the proposed raise under wraps.
The placement will issue 263.44 million shares at $0.009 each, a 10% discount to Northstone's last traded price of $0.010 and a 22.7% discount to its five-day VWAP as at 30 October. The shares are expected to be issued on 11 November using the company's existing placement capacity, although $135,000 of director commitments remains subject to shareholder approval.
The raise follows Northstone's trading suspension, which was announced while the proposed capital raising was still being negotiated and its size, pricing and structure were undisclosed.
Tlamino resource estimate becomes the key milestone
Most of the proceeds will go towards Northstone's flagship Tlamino Gold-Silver Project, where the company is targeting a maiden JORC Mineral Resource Estimate in the December quarter of 2026. Scoping study work is due to begin after that resource estimate, creating a defined sequence from drilling and geological interpretation towards an initial assessment of development potential.
Northstone also expects further infill assays, step-out drilling results and the first results from greenfield exploration in the coming months. The company says recent drilling outside its 2021 estimate, together with infill results, has increased its confidence ahead of the resource update. Earlier coverage reported a 36-metre intersection grading 5.85 grams per tonne gold equivalent at Barje, but the current announcement does not quantify the results still outstanding or provide an economic assessment for Tlamino.
Funding extends exploration across Serbian portfolio
The balance of the funding will support continued field exploration at the Timok East Copper Project, along with further step-out and greenfield drilling at Tlamino, placement costs and general working capital. That gives Northstone two active exploration fronts in Serbia, but the announcement does not provide an updated cash balance, expected runway or detailed budget allocation between the projects.
Investors in the placement will receive one attaching option for every two new shares, creating approximately 131.72 million options exercisable at $0.02 and expiring on 20 January 2030. GBA Capital and participating brokers are also due to receive 26.34 million options on the same terms for managing the raise. Both option issues require shareholder approval, expected to be sought at the annual general meeting on 30 November.
Capital support comes with delivery tests
Directors and management committed $240,000 to the placement, which the company presented as alignment with existing and incoming shareholders. GBA Capital will receive a 6% management and placement fee, equivalent to $142,200 before any other placement costs if calculated against the funds raised.
The immediate test is execution: Northstone must complete the share issue, secure approval for the additional options and convert its drilling and assay pipeline into the promised resource estimate. The December-quarter MRE is now the clearest near-term catalyst, but its eventual significance will depend on the size, grade and confidence category of the resource, none of which has yet been disclosed.
Bottom Line?
Northstone has bought itself a funded run at the Tlamino resource milestone, but the raise increases the number of securities on issue before investors see the project's first JORC resource or scoping-study economics.
Questions in the middle?
- What size and confidence category will Northstone's maiden Tlamino JORC resource establish?
- How much of the $2.37 million will be directed to Tlamino compared with Timok East and working capital?
- Will shareholders approve the attaching and broker options at the 30 November annual meeting?
