Scheme Booklet Moves Brookfield Deal to Shareholder Vote

Reliance Worldwide Corporation Limited (ASX:RWC) has dispatched the Scheme Booklet for Brookfield’s proposed acquisition of all RWC ordinary shares, giving shareholders the materials needed to decide whether to support the scheme of arrangement. The dispatch follows the Federal Court meeting approval, which cleared the way for the shareholder meeting but did not itself approve the takeover.

The booklet and notice of meeting were sent by post, while shareholders who had elected electronic communications received an email containing equivalent access information. The announcement does not restate the offer price, transaction value or expected implementation date, so this filing is chiefly a process milestone rather than a change to the commercial terms.

Shareholders Face 4 December Decision

The Scheme Meeting will be held in Melbourne at 10:00am on Friday, 4 December 2026. RWC shareholders can vote in person or appoint a proxy, with proxy forms required by 10:00am on Wednesday, 2 December. The meeting will consider whether to agree to the scheme under section 411 of the Corporations Act, with or without alterations or conditions approved by the Federal Court.

The company has also invited shareholders to submit questions in advance by 10:00am on 27 November. The chair intends to vote undirected proxies in favour of the scheme, although the proxy form notes that this intention could change in exceptional circumstances and would then be disclosed to the ASX.

The immediate question is no longer whether the meeting can proceed, but whether shareholders provide the approval required for the transaction to advance. Further court and other scheme conditions remain part of the process, and the 4 December vote is the next concrete test for Brookfield’s proposed takeover of RWC.

Bottom Line?

The paperwork is now in shareholders’ hands; the decisive milestone is the 4 December vote, not the dispatch itself.

Questions in the middle?

  • Will RWC shareholders approve the Brookfield scheme at the 4 December meeting?
  • What level of proxy support will be lodged before the 2 December deadline?
  • What court, regulatory or implementation steps will remain after any shareholder approval?
