AXP misses $1.2 million minimum as shortfall offer extends

Energy By Maxwell Dee 3 min read

AXP Energy received applications for $262,214 in its 1-for-1 entitlement offer, far below the $1.2 million minimum subscription. A separate shortfall offer remains open until 3 February 2027, leaving the final capital raised unresolved.

  • 52.44 million shares applied for at $0.005 each
  • 26.22 million free attaching options applied for
  • Minimum subscription of $1.2 million not achieved
  • Shortfall offer remains open until 3 February 2027
  • Treatment of received funds has not been specified

AXP Energy Limited (ASX:AXP) has fallen well short of the funding target set for its entitlement offer, receiving applications worth just $262,214 before costs against a minimum subscription of $1.2 million.

The 1-for-1 non-renounceable offer attracted valid applications for 52,442,871 shares at $0.005 each. That comprised 38,789,800 shares taken up under entitlements and a further 13,653,071 shares applied for as additional securities. Applicants also sought 26,221,436 free attaching options, although the announcement does not provide their exercise terms.

Minimum Subscription Misses Funding Target

The shortfall is material: the applications represent about 21.9% of the stated $1.2 million minimum. AXP said the minimum subscription was not achieved and that it will deal with the funds received in accordance with the Corporations Act 2001, without specifying in this announcement whether applicants will receive securities, refunds or another treatment.

The result lands after AXP outlined an offer intended to raise between A$1.2 million and A$2.249 million, with non-participating shareholders facing significant potential dilution. That earlier entitlement offer was presented as a possible source of funding for Oklahoma development, while the prospectus also flagged going-concern uncertainty.

Shortfall Offer Keeps Capital Raise Open

AXP has not closed the door on the raise. Its separate shortfall offer can remain open until 5:00pm on 3 February 2027, or an earlier date set by the directors, with securities potentially issued progressively during that period.

Any shortfall securities will be offered at the same $0.005 price, with one free attaching option for every two shares issued, and cannot be issued on terms more favourable than those in the original offer. The final amount raised, the number of securities ultimately issued and the resulting dilution therefore remain unsettled.

Funding Pressure Remains Unresolved

The weak take-up sharpens the funding question around AXP’s operating plans. Its most recent quarterly coverage described higher Oklahoma production but also a cash position estimated at only 1.53 quarters, while the company was relying on the capital raise to support a proposed seven-well acquisition and further development.

The next meaningful marker is not simply the 3 February deadline. It is whether AXP can attract enough shortfall applications to materially change the economics of the failed minimum raise, and what the company says about its cash position if it cannot.

Bottom Line?

AXP has until 3 February 2027 to build on a raise that currently covers only a fraction of its minimum target; the treatment of the $262,214 already received is the immediate unresolved issue.

Questions in the middle?

  • Will the shortfall offer attract enough applications to restore a meaningful portion of the planned funding?
  • How will AXP deal with the $262,214 received after the minimum subscription was missed?
  • What securities will ultimately be issued, and how will the final result affect dilution and funding for Oklahoma plans?
