Locate Technologies clears its November debt hurdle with new refinancing

Locate Technologies has arranged A$3.0 million of drawn senior debt and a A$1.0 million convertible note to repay its PURE Asset Management facility ahead of maturity. The refinancing removes the immediate repayment deadline, but leaves the company with substantial interest costs and potential equity dilution.

  • A$3.0 million senior secured facility drawn, with up to A$3.5 million available
  • A$1.0 million unsecured convertible note issued at a NZ$0.15 conversion price
  • A$4.04 million PURE facility to be repaid using new funding and existing cash
  • New debt carries 11% interest, while the note carries 10%
  • Early note repayment could trigger options exercisable at NZ$0.15 per share

PURE repayment deadline replaced with new funding

Locate Technologies (NZX:LOC) has secured a refinancing package intended to repay its A$4.04 million PURE Asset Management facility before its November maturity, removing the most immediate funding test facing the logistics software company. The arrangement combines A$3.0 million of drawn senior debt, a A$1.0 million convertible note and existing cash.

The senior facility can reach A$3.5 million, although the additional A$500,000 remains conditional on the lender arranging funding. It runs for 36 months from first drawdown and carries interest of 11% a year, payable monthly. Locate says the loan can be repaid at any time without penalty, giving the board scope to reduce interest costs if cash allows.

Convertible note creates a potential equity claim

The separate A$1.0 million note has a three-year term and carries 10% annual interest, paid quarterly in cash. The holder can convert at any time before maturity at NZ$0.15 per share, while conversion or repayment can be selected at maturity. If no election is made then, the note will be repaid.

There is also a dilution-related feature if Locate repays the note early: the noteholder receives one option for every NZ$0.15 of the repaid amount, converted from Australian dollars at the exchange rate applying on the repayment date. Those options would also be exercisable at NZ$0.15 and expire when the note would originally have matured. The note is unsecured and ranks behind the new senior facility, although the holder may request security behind it.

Refinancing follows months of balance-sheet pressure

The transaction addresses the issue identified in the November refinancing test, after the company’s FY26 results reported negative net assets and an auditor warning about material uncertainty over its ability to continue as a going concern. Locate’s later quarterly update reported its first net profit as a listed company and positive operating cash flow, but the PURE repayment remained an immediate obligation.

Locate says it assessed several alternatives, including an Australian bank facility, before choosing the current structure for its flexibility and comparatively low establishment costs. Once the PURE facility is repaid, PURE is expected to release all security over the group. The company said it will make a further announcement after repayment has occurred, meaning the refinancing is agreed but the key debt transition was not yet complete when this announcement was released.

Interest burden becomes the next test

The new structure buys time, but it is not cheap money. Based on the A$3.0 million drawn facility and A$1.0 million note, the stated annual interest rates imply cash interest of roughly A$430,000 a year before considering the facility’s potential additional drawdown or the company’s existing cash position. That is an arithmetic indication rather than company guidance, and the actual burden will depend on balances, timing and exchange rates.

The central question now shifts from whether Locate can refinance the PURE facility to whether its operating cash generation can support the new interest obligations while it continues developing Locate2u and operating Zoom2u. Confirmation of repayment and security release will be the next concrete milestone, followed by evidence of how much cash remains after the transaction.

Bottom Line?

The refinancing removes the immediate maturity cliff, but Locate still needs to demonstrate that its operating cash flow can carry the new interest burden without relying on further capital or future equity issuance.

Questions in the middle?

  • When will Locate confirm that the A$4.04 million PURE facility has been repaid and its security released?
  • How much cash will remain after repayment, and can operating cash flow cover the new recurring interest costs?
  • Will the convertible note be repaid or converted, and could the associated options create meaningful dilution?
