Riversgold funds a 15-fold Northern Zone expansion

Riversgold has locked in $1.55 million from sophisticated and professional investors to fund its E25/594 acquisition from Black Cat Syndicate. The deal would expand the Kalgoorlie-Northern Zone Project nearly 15-fold, but more than 258 million new shares will be issued across two tranches.

  • $1.55 million placement at $0.006 per share
  • Approximately 258.3 million new shares across two tranches
  • Funds earmarked for the E25/594 acquisition from Black Cat Syndicate
  • Northern Zone footprint to expand from 0.82km² to 12.82km²
  • Second tranche and 30 million options require shareholder approval

$1.55 Million Raised for Northern Zone Acquisition

Riversgold Limited (ASX:RGL) has secured firm commitments for a $1.55 million placement, giving the explorer funding to pursue the tenement acquisition that would transform the scale of its Kalgoorlie-Northern Zone Project. The shares are priced at $0.006 each, with approximately 258.3 million new ordinary shares to be issued.

The money is earmarked for the acquisition of E25/594 from a wholly owned subsidiary of Black Cat Syndicate (ASX:BC8). Riversgold said the transaction would increase its project area from 0.82 square kilometres to 12.82 square kilometres, an expansion of approximately 15 times. The announcement does not disclose the acquisition price or the proportion of the placement that will be consumed by the purchase.

The raising follows Riversgold’s Northern Zone tenement deal, which involved a 12-square-kilometre exploration licence, a $1 million cash component and 111.1 million Riversgold shares. That earlier transaction identified the cash component as a funding requirement; the new placement is the company’s stated response.

Two-Tranche Issue Creates Approval Dependency

Riversgold will issue 214.35 million shares in the first tranche under its existing placement capacities, with settlement scheduled for 11 November 2026 and issue on 12 November. A further 43.99 million shares will form the second tranche, including 8.33 million shares subscribed for by Executive Chairman David Lenigas, subject to shareholder approval.

That structure means the full $1.55 million commitment is not immediately represented by issued shares. Shareholders will also be asked to approve 30 million unquoted options exercisable at $0.012 each for two years. The new shares will rank equally with those already on issue, while the filing does not provide the pre-placement share count needed to calculate the resulting dilution percentage.

Expanded Ground Raises the Exploration Stakes

Executive Chairman David Lenigas said Riversgold had moved quickly after the acquisition announcement to secure funding and begin work across the expanded project area. The filing does not specify the exploration programme, expenditure split or timing beyond the immediate transaction and placement timetable, leaving the next operational milestones to be defined.

For investors, the appeal is straightforward but conditional: Riversgold is buying a much larger exploration footprint around its Northern Zone asset, but the value of that additional ground will depend on acquisition completion, shareholder approval for the second tranche and what exploration ultimately finds. The next hard markers are the first-tranche share issue, the approval vote and the company’s plans for E25/594 once the transaction is completed.

Bottom Line?

The placement funds a major increase in exploration ground, but shareholders still face approval risk, substantial new issuance and an unanswered question over the acquisition’s total cost.

Questions in the middle?

  • Will shareholders approve the second tranche and the proposed 30 million options issue?
  • How much of the $1.55 million placement will remain for exploration after the E25/594 acquisition?
  • What drilling or field programme will Riversgold commit to across the expanded Northern Zone footprint?
