Retelit Agreement Sets A$19.5 Million Revenue Floor

Vection Technologies Ltd (ASX:VR1) has put a number on one of its European channel opportunities, signing a framework supply agreement with Italian digital services and telecommunications provider Retelit Digital Service S.p.A. RDS has committed to generate no less than approximately A$19.5 million in cumulative revenue for Vection over the agreement’s term, which runs until 30 June 2030.

That figure is a commercial commitment rather than revenue already booked. The agreement specifies milestone periods of A$5 million by 31 December 2027, a further A$6.5 million by 30 June 2029 and another A$8 million by 30 June 2030. The announcement does not disclose the associated margins, discounts, rebates or payment terms, leaving the eventual earnings contribution less clear than the headline revenue figure.

Italian Telecommunications Group Opens Enterprise Channel

RDS will become a Tier 1 Cloud and Digital Service Provider under Vection’s Cloud & Digital Service Provider Program. It is authorised to commercialise Vection’s products directly to end customers and through its dealer network across Italy and Europe, giving Vection an established distribution route rather than relying solely on direct sales.

The portfolio covered by the arrangement includes the Algho AI, Renderia and 3DFrame software platforms, together with Vection’s kiosks, touchpoints and on-premise or edge appliances, including its Accessibility System. Vection’s agreement with RDS therefore spans both recurring-style software offerings and physical human-machine interaction equipment, although the filing does not break down the expected contribution from each category.

Execution Risk Sits Between Commitment and Cash

The deal arrives after Vection reported its first positive full-year operating cash flow and a sharp increase in adjusted EBITDA, but its audited results also identified a material uncertainty around continued operations. Against that backdrop, a stated multi-year revenue commitment could become commercially important if RDS converts its customer and dealer access into orders on schedule. It does not, however, remove the need to deliver the products, recognise revenue appropriately and manage the economics of the channel.

The relationship is non-exclusive and does not automatically renew after June 2030. Commercial terms are confidential, while the agreement includes requirements covering GDPR, the EU AI Act for Vection’s AI services supplied to RDS customers, and mutual anti-corruption obligations. The next meaningful test is whether the first A$5 million milestone is reached by the end of 2027, rather than whether the contract headline alone translates into near-term cash generation.

Bottom Line?

The contract gives Vection a defined European revenue pathway, but the investment case now turns on milestone delivery, customer conversion and the undisclosed margin attached to each sale.

Questions in the middle?

  • How quickly will RDS convert its enterprise and dealer network into orders for Vection’s products?
  • What gross margin and cash-conversion profile will the agreement deliver once discounts and payment terms are known?
  • Will Vection disclose progress against the A$5 million first milestone before the agreement’s later revenue targets come into focus?
