Crimson crosses 50% as Kip McGrath takeover enters final stretch

Education By Victor Sage 2 min read

Crimson Consulting Australia has passed 50% voting power in Kip McGrath, triggering an automatic eight-day extension to its A$0.75-a-share takeover offer. The target’s directors continue to recommend acceptance in the absence of a superior proposal.

  • Voting power exceeded 50% on 13 October
  • Offer extended from 19 October to 27 October
  • Consideration remains A$0.75 per Kip McGrath share
  • Target directors unanimously recommend acceptance
  • Performance rights holders receive no separate offer

Crimson clears the 50% control threshold

Crimson Consulting Australia Pty Ltd has moved beyond the halfway mark in its takeover of Kip McGrath Education Centres Limited (ASX:KME), a control milestone that has automatically kept the offer open for longer. Crimson’s voting power exceeded 50% on 13 October, within the final seven days of the bid’s original offer period.

That event has shifted the closing time from 7.00pm Melbourne time on 19 October to 7.00pm on 27 October 2026. The extension operates under section 624(2) of the Corporations Act, as modified by ASIC’s takeover-bids instrument, and may be extended again or the offer withdrawn under its terms.

A$0.75 offer retains unanimous board support

The offer remains priced at A$0.75 for each Kip McGrath share accepted, subject to any permitted reduction for a relevant dividend. The latest notice reiterates that Kip McGrath’s directors now unanimously recommend acceptance, provided no superior proposal emerges, following the unanimous board backing.

The extension gives shareholders who have not accepted additional time to consider the fixed cash consideration, while also giving the bidder a longer period to build its final level of control. The filing does not disclose Crimson’s precise voting percentage above 50%, the number of shares accepted or whether every offer condition has been satisfied.

Performance rights remain a separate complication

Crimson is not making a separate offer to Kip McGrath performance rights holders. If those rights vest and shares are issued before the offer closes, holders may accept the offer for those resulting shares, provided they act within the extended offer period.

The immediate question is whether acceptances continue to lift Crimson’s stake beyond the newly confirmed majority, and what that means for the remaining register. The 27 October deadline is now the key date for shareholders and rights holders, unless a further notice changes the timetable.

Bottom Line?

The takeover has crossed its most important ownership threshold, but the final voting position and treatment of remaining shares are still to be established before 27 October.

Questions in the middle?

  • What is Crimson’s exact voting power after passing 50%?
  • Will further acceptances take the bidder towards compulsory acquisition or delisting thresholds?
  • Will any performance rights vest and convert into shares before the extended closing date?
