Botala funds next Serowe gas test with A$1.35m placement

Energy By Maxwell Dee 3 min read

Botala Energy has secured A$1.35 million in a targeted placement to fund flow testing at its Serowe coal bed methane project, reserves certification and the final Phase 2 feasibility study. The raise also provides near-term funding while a proposed A$3.6 million investment from Botswana’s MDCB remains subject to commercial agreements.

  • A$1.35 million placement priced at A$0.045 per share
  • Funds directed to Serowe-3.5B flow testing and maiden reserves certification
  • Phase 2 Bankable Feasibility Study to be finalised
  • Board and management subscribed for A$0.4 million, subject to approval
  • Share purchase plan planned at the same issue price

A$1.35 Million Placement Targets Serowe Milestones

Botala Energy Ltd (ASX:BTE) has secured A$1.35 million from sophisticated investors, giving its Botswana coal bed methane project fresh funding for the technical work that must precede any commercial development. The placement is priced at A$0.045 a share, an approximately 18% discount to Botala’s five-trading-day VWAP of A$0.055.

The money will support continued flow testing of Serowe-3.5B, maiden reserves certification by Sproule ERCE and completion of the Phase 2 Bankable Feasibility Study. Those milestones sit at the centre of the company’s Pitse Pilot, which is intended to establish whether the Serowe project can progress from promising reservoir data to commercial gas production.

Serowe-3.5B Remains the Immediate Technical Test

Botala’s funding announcement does not report a commercial gas flow result or a reserves upgrade. It says the current work is aimed at demonstrating commercial gas flows, which would support the reserves assessment and the feasibility study. That makes the placement an investment in the next proof points rather than evidence that those outcomes have already been achieved.

The well has been the focus of Serowe-3.5B flow testing, after earlier testing produced water and casing pressure but had not yet demonstrated sustained commercial gas flow. Botala chief executive Kris Martinick said reaching the company’s commercial gas-flow benchmark would further de-risk the project, while the announcement cautioned that the proposed development remains dependent on technical and commercial progress.

MDCB Investment Still Awaits Commercial Agreements

Placement proceeds will also be used to progress proposed investment of approximately A$3.6 million from the Minerals Development Company of Botswana. Botala said discussions with MDCB had been progressing, but finalising the equity investment remains subject to concluding commercial agreements. The proposed funding is therefore not part of the cash already raised.

Board Participation and Further Shareholder Funding

Approximately 30 million new shares are expected to be issued. Around 22.8 million shares will be issued under Botala’s existing ASX Listing Rule 7.1 capacity, while approximately 7.2 million shares reserved for directors and management require shareholder approval at a general meeting. The board and management have committed A$0.4 million in total, subject to that approval.

Botala also intends to conduct a share purchase plan at the same A$0.045 issue price. That may give eligible existing shareholders an opportunity to participate, although the company has not yet disclosed the SPP’s record date or offer details. The immediate questions are whether Serowe-3.5B can establish sustained commercial flow and whether the proposed MDCB investment can move from discussion to binding agreements.

Bottom Line?

The placement funds the decisive technical steps, but Botala still needs commercial gas flow, certified reserves and a signed MDCB deal to convert progress into a development case.

Questions in the middle?

  • Can Serowe-3.5B demonstrate sustained commercial gas flow during the next phase of testing?
  • When will Sproule ERCE complete the maiden reserves certification and what classification will result?
  • Will MDCB finalise its proposed approximately A$3.6 million investment under binding commercial agreements?
