US$15 million reaches Challenger’s balance sheet
Challenger Gold Limited (ASX:CEL) has completed the first US$15 million tranche of its unsecured convertible debenture offering, turning a financing plan into cash for the next phase of the Hualilan development. The company says it has agreements covering US$30.3 million of gross proceeds before costs, while retaining discretion to increase the offering to as much as US$35 million.
The result updates the September debenture financing, which earlier coverage described as a US$24 million package with a further US$6.3 million potentially available. The remaining funding is not yet fully unconditional: US$9.3 million of proposed debentures for affiliates of Peter Marrone, or his nominee, and affiliates of Eduardo Elsztain requires shareholder approval and any approval required under the ASX Listing Rules.
Hualilan work moves from planning to procurement
Challenger plans to direct a substantial portion of the proceeds towards initial capital and project-readiness work at Hualilan. That includes down payments for long-lead-time equipment, detailed engineering and project management, alongside working capital.
The spending is also intended to support an updated pre-feasibility study. Challenger is assessing whether the project’s production schedule can be brought forward, leach recoveries improved and initial capital reduced through potential third-party construction of the project powerline. Those possibilities remain unconfirmed until the updated study and supporting technical work are complete.
Conversion terms introduce a future equity question
The debentures are issued in US$100,000 units and may be converted into fully paid Challenger shares at the holder’s option. The initial conversion price is A$2.72 per share, subject to adjustments, creating a potential future equity component alongside the company’s immediate funding benefit.
Challenger also issued 159,511 shares to investors who elected to receive the three per cent establishment fee in shares rather than cash. The announcement does not quantify the total number of shares that could be issued if the debentures convert, leaving the eventual dilution question dependent on the detailed terms and future holder decisions.
Funding runway extends to mid-2027, not project completion
Based on its current budget, planned expenditure and prevailing assumptions, Challenger expects the available proceeds to fund planned activities through to mid-2027. It is targeting completion of the full financing required for Hualilan by then, but explicitly flags that timing as conditional on the updated pre-feasibility study, financing documentation, approvals, market conditions and actual expenditure.
That distinction matters. The completed tranche funds development readiness; it does not represent full project financing. The next material markers are the shareholder meeting targeted for the end of November, the outcome of the updated Hualilan study and evidence that Challenger can secure the larger funding package on acceptable terms.
Bottom Line?
The first tranche gives Hualilan development work room to advance, but the investment case still turns on Tranche 2 approval, the updated study and a much larger project financing package.
Questions in the middle?
- Will shareholders and the ASX approve the proposed US$9.3 million Tranche 2 allocation?
- What production schedule, recovery assumptions and initial capital requirement will emerge from the updated Hualilan pre-feasibility study?
- Can Challenger secure full Hualilan development funding by mid-2027 without materially increasing the eventual equity burden?
