A$700,000 Placement Secured

Skin Elements Limited (ASX:SKN) has secured firm commitments for A$700,000 before costs, giving the natural biotechnology company fresh working capital as it advances and commercialises its existing product portfolio.

The placement will issue 318,181,818 ordinary shares at A$0.0022 each. Each share comes with one free-attaching option, creating a further 318,181,818 options that will be exercisable at A$0.004 on or before the third anniversary of issue, subject to shareholder approval.

The issue price sits 10% above Skin Elements’ last closing price of A$0.002 on 22 October, but is 24.14% below its 15-day volume-weighted average price of A$0.0029. That mixed pricing signal gives the raising a more nuanced profile than a straightforward discount placement.

Capital Targeted at Five Product Programs

Management says the proceeds will support the company’s existing programs, including ECO-Nurture natural plant bio-stimulant, SuprCuvr disinfectant, Soleo Organics and the PapayaActivs therapeutic skincare and personal protection range. The portfolio also includes the Elizabeth Jane Natural Cosmetics brand.

The raising extends Skin Elements’ recent reliance on equity funding. In June, the company completed a A$900,000 product placement to support the same ECO-Nurture, SuprCuvr, Soleo Organics and PapayaActivs programs. The latest announcement does not provide a revised cash balance, revenue target or commercialisation milestone against which to measure the new funding.

Options and Fees Add to the Dilution Question

The ordinary shares are intended to be issued in early November under Skin Elements’ existing ASX Listing Rule 7.1 and 7.1A placement capacities. The attaching options are planned for issue in early December, but require shareholder approval at a general meeting expected in late November.

Phoenix Global Investments, the sole lead manager, will receive a 6% fee on gross proceeds, equivalent to A$42,000 excluding GST. Skin Elements may settle that fee in cash or through shares and options on the placement terms, subject to ASX Listing Rule requirements. The final effect on the company’s capital structure therefore remains dependent not only on the option approval, but also on how the fee is settled.

Bottom Line?

The placement provides immediate funding, but the commercial test is whether Skin Elements can turn another equity injection into measurable progress across its product portfolio before the attaching options become a further source of dilution.

Questions in the middle?

  • How much cash will remain after placement costs and the A$42,000 lead-manager fee?
  • Will shareholders approve the 318.2 million attaching options in late November?
  • What specific sales, regulatory or distribution milestones will the new funding deliver across the product programs?
