Revenue Collapse Exposes BSA’s Post-nbn Gap
BSA’s first quarter has put a hard number on the cost of losing its nbn work. Revenue fell 74% year on year to $4.4 million in Q1 FY2027, while underlying EBITDA swung from a $4.0 million profit to a $0.6 million loss.
The comparison is unusually harsh because Q1 FY2026 benefited from non-recurring nbn transition-out payments and other project contributions. Even so, BSA said the current quarter was affected by lower nbn volumes after unfavourable tender and contract renewal outcomes, the expiry of the nbn contract on 30 September 2025, and delays in mobilising replacement opportunities.
Eonetics Agreement Moves Towards Shareholder Vote
Against that weak operating backdrop, BSA has exchanged a binding agreement to acquire all of Eonetics. The proposed transaction is intended to broaden BSA’s technology capabilities and service offering across infrastructure inspection, surveillance and connectivity. The binding Eonetics agreement had previously been reported as bringing tethered-drone communications technology into BSA’s infrastructure services business.
Completion remains conditional on legal due diligence, shareholder and regulatory approvals, and other customary conditions. A shareholder meeting is planned for 25 November 2026, with completion anticipated afterwards if the outstanding requirements are satisfied. The filing does not disclose the acquisition’s purchase consideration or expected financial contribution.
Cash Buffer Remains Despite Operating Outflow
BSA ended September with $14.6 million of net cash, down from $16.4 million at the end of June. Cash stood at $15.0 million, offset by $0.4 million of restricted cash linked to a bank guarantee facility. The company had used $1.7 million of that $2.1 million facility and reported no external borrowings.
Operating activities consumed $1.7 million during the quarter, while lease payments used a further $0.2 million. The result was a $1.8 million net cash outflow, although the prior corresponding period had included $5.6 million of redundancy-related cash payments and recorded a larger overall cash outflow of $4.9 million.
Pipeline Conversion Becomes the Immediate Test
CEO Sasho Kacevski described the quarter as a transition following the nbn contract expiry, saying BSA’s priority was to convert its pipeline into sustainable revenue and improved earnings. Reported EBITDA was a $1.7 million loss, including $1.0 million of non-cash share-based payment expense, while cost management partly offset the reduced revenue base.
The financial position gives BSA time to pursue its stated growth strategy, but the next test is operational rather than financial engineering: whether new work can be mobilised quickly enough to replace the lost nbn contribution, and whether Eonetics can add capability without extending the period of weak earnings.
Bottom Line?
BSA retains a useful cash buffer, but the investment case now depends on turning its pipeline and Eonetics transaction into revenue before the post-nbn earnings gap widens further.
Questions in the middle?
- How quickly can BSA mobilise the new opportunities in its customer pipeline?
- What purchase consideration and financial contribution will be attached to the Eonetics acquisition?
- Can operating cash flow return to positive territory while the business rebuilds its revenue base?
