Famien clears West Yilgarn portfolio for Côte d’Ivoire gold focus
Famien Resources has completed the sale of its non-core West Yilgarn assets to Voltaic Strategic Resources, clearing another Australian portfolio item from its strategy. The deal could deliver up to $2 million in deferred cash if Voltaic establishes qualifying gold resources at Rocky Ridge.
- Completion of Diamandia sale to Voltaic Strategic Resources
- Up to $2 million in JORC-linked deferred consideration
- Rocky Ridge milestones require resources at a minimum 0.5g/t gold cut-off
- Proceeds earmarked for Côte d’Ivoire exploration and working capital

West Yilgarn portfolio sale completed
Famien Resources Limited (ASX:FMN) has completed the sale of Diamandia, the wholly owned subsidiary holding its non-core West Yilgarn exploration portfolio, to Voltaic Strategic Resources Limited (ASX:VSR). The transaction covers the Rocky Ridge, Tampia West and Three Springs tenements in Western Australia.
The completion closes the transaction first outlined in the West Yilgarn sale agreement, which was reported as carrying $330,000 in upfront consideration and up to a further $2 million tied to future resource milestones. Famien’s completion announcement does not separately disclose the upfront proceeds or when any deferred payments might be received.
Deferred payments depend on Rocky Ridge resources
Famien remains eligible for up to $2 million in deferred cash consideration if Voltaic announces a JORC Code 2012-compliant mineral resource estimate on one or more Rocky Ridge tenements. The estimate must use a cut-off grade of at least 0.5 grams of gold per tonne.
The payment steps rise with the reported resource: $250,000 at 25,000 ounces, another $250,000 at 50,000 ounces, $500,000 at 100,000 ounces and $1 million at 200,000 ounces. Those payments are contingent on Voltaic’s future exploration and reporting, making the larger portion of the consideration prospective rather than immediate cash.
Côte d’Ivoire becomes the central exploration bet
Famien says it intends to apply the sale proceeds to continued exploration in Côte d’Ivoire and general working capital. That allocation follows Bonougbara drilling results, where the company reported gold mineralisation in most holes from a 3,672-metre reverse-circulation program and planned follow-up work.
The divestment therefore removes the West Yilgarn assets from Famien’s exploration portfolio while leaving the company with a contingent interest in any future Rocky Ridge resource. The immediate financial effect is less clear because the announcement gives no total cash proceeds, while the strategic direction is explicit: more capital and attention are intended to move towards the company’s Côte d’Ivoire projects.
Bottom Line?
The Australian portfolio is now sold, but the value of the transaction will depend on both undisclosed immediate proceeds and Voltaic’s ability to establish a qualifying Rocky Ridge resource.
Questions in the middle?
- What upfront cash did Famien receive at completion, and how much working capital will remain after the transaction?
- Can Voltaic define a Rocky Ridge resource large enough to unlock the deferred payment tiers?
- How quickly can Côte d’Ivoire exploration convert Famien’s strategic focus into a JORC-compliant resource of its own?
