US$10 billion notes and 86.2 million shares complete Oracle capital raise

Technology By Sophie Babbage 3 min read

Oracle has completed a sizeable capital raising combining US$10 billion of notes with the issue of 86.2 million common shares. The company has not yet specified how the proceeds will be divided between investment, debt repayment, acquisitions, dividends or buybacks.

  • US$10 billion issued across five note maturities from 2029 to 2046
  • 86,206,897 common shares issued, with the offering price not disclosed in the filing
  • Coupon rates range from 7.000% to 8.650%, implying about US$776.8 million in annual interest before fees
  • Proceeds earmarked for general corporate purposes, including acquisitions and capital expenditure
  • The filing does not identify a specific acquisition or investment target

Oracle Corporation (NYSE:ORCL) has completed a combined capital raising that adds US$10 billion of debt and 86,206,897 common shares to its funding base, giving the enterprise software group substantial fresh capacity without naming a specific acquisition or investment target. The transactions closed on November 4, with proceeds designated for broad corporate purposes.

US$10 Billion Debt Package Spans Five Maturities

The debt comes in five tranches: US$2 billion of 7.000% notes due 2029, US$1.75 billion of 7.450% notes due 2031, US$2.25 billion of 7.850% notes due 2033, US$2.5 billion of 8.000% notes due 2037 and US$1.5 billion of 8.650% notes due 2046. On the stated principal amounts and coupon rates, the notes represent roughly US$776.8 million of annual interest before underwriting costs and other financing expenses.

That is a meaningful fixed financing commitment, although the filing does not provide the notes’ issue prices, net proceeds, or Oracle’s resulting leverage. The staggered maturities spread repayment across 2029 to 2046 rather than concentrating the entire obligation in one refinancing window.

New Equity Adds Capital but Also Dilution

The common stock offering issued 86,206,897 shares, but the announcement does not state the offer price or aggregate gross and net proceeds. That leaves the immediate cash contribution from the equity leg unclear, as well as the precise dilution for existing shareholders. The share issuance does, however, increase Oracle’s outstanding equity base and sits alongside rather than in place of the new borrowing.

Broad Proceeds Mandate Leaves Capital Allocation Open

Oracle says it may use the proceeds for capital expenditure, repayment of indebtedness, future investments or acquisitions, cash dividends and share repurchases. That list is deliberately broad: the filing does not tie the money to a named transaction, project or refinancing programme. The next substantive signal will therefore come from how Oracle deploys the capital, and whether subsequent disclosures show a shift towards expansion, balance-sheet management or shareholder returns.

Bottom Line?

The financing provides Oracle with considerable flexibility, but the investment case now carries two open variables: the eventual use of funds and the balance between added interest expense and growth spending.

Questions in the middle?

  • What was the issue price of the 86.2 million shares, and how much dilution did the equity offering create?
  • Will Oracle use the debt primarily for acquisitions and capital expenditure, or to refinance existing obligations and fund shareholder returns?
  • How will the roughly US$776.8 million annual coupon burden affect future cash allocation and leverage?
