Forrestania Resources has lifted its relevant interest in Zenith Minerals to 64.67% and begun issuing shares to accepting shareholders as its takeover offer enters its final week. The offer is scheduled to close on 12 November, while Edna May dry commissioning continues ahead of targeted first ore processing in December.
- Relevant interest in Zenith reaches 64.67%
- Takeover offer scheduled to close at 5.00pm AWST on 12 November
- First Forrestania shares issued to early accepting Zenith shareholders
- Withdrawal rights period has ended
- Edna May dry commissioning underway with first ore targeted for December
Forrestania crosses 64.5% of Zenith
Forrestania Resources Limited (ASX:FRS) has moved further into control of Zenith Minerals, reporting a 64.67% relevant interest as its off-market takeover offer enters its final week. The company has also started issuing Forrestania shares to Zenith shareholders who accepted before 22 October, with additional issuances expected during November.
The update follows the offer becoming unconditional and reaching 63.87% voting power in unconditional Zenith takeover, according to earlier coverage. The withdrawal rights period for certain Zenith shareholders has now ended, removing one of the remaining procedural features of the offer.
Offer closing date remains 12 November
Forrestania said the offer will close at 5.00pm AWST on Thursday, 12 November 2026, and will not be extended beyond that date unless it is automatically extended under section 624(2) of the Corporations Act.
Zenith shareholders who do not accept will remain minority shareholders in a company controlled by Forrestania and will not receive Forrestania shares under the offer. The announcement does not disclose the number of shares issued in the first tranche or the final ownership level expected after the offer closes.
Edna May commissioning remains the next operating test
Forrestania is presenting the takeover alongside its push towards gold production. Executive Chair David Geraghty said dry commissioning was underway at the Edna May Gold Project, with the company targeting first ore processing in December 2026. The timing remains a target rather than a completed production milestone.
That operating deadline matters because the company has been building a third-party feed pipeline around Edna May, including a previously announced agreement for up to 400,000 tonnes from Mt Fisher. The immediate questions now sit on two tracks: how many Zenith shareholders accept before the deadline, and whether commissioning converts the enlarged group's production plan into processed ore during December.
Bottom Line?
Forrestania has secured control of Zenith, but the final ownership level and the practical delivery of first ore at Edna May remain the two milestones that will define the next phase.
Questions in the middle?
- Will acceptances lift Forrestania's Zenith interest materially above the current 64.67% before the offer closes?
- How many Forrestania shares will ultimately be issued as takeover consideration?
- Can Edna May complete commissioning and process first ore within the December target?
