Forrestania clears final takeover conditions
Forrestania Resources Limited (ASX:FRS) has moved its takeover of Zenith Minerals Limited (ASX:ZNC) into its decisive final stage, declaring the offer wholly unconditional after satisfying the minimum acceptance condition and waiving all other defeating conditions.
The bidder’s voting power in Zenith stood at 63.87% as at 5 November, up from the 62.04% relevant interest reported in the company’s earlier $310 million capital raising update. The latest notice does not disclose the number of shares acquired to reach the new voting position or the final consideration payable under the offer.
Offer scheduled to close next week
Forrestania said the offer is scheduled to close at 5:00pm WST on 12 November 2026. With the conditions no longer standing in the way of completion, the remaining focus is on acceptances received before the deadline and the bidder’s resulting level of control.
The takeover has already passed the majority-control threshold, following the takeover control milestone reported in October, when Forrestania’s relevant interest was 58.54%. That earlier process included Takeovers Panel-related corrective disclosure and protections for Zenith shareholders.
Compulsory acquisition remains an open question
The notice confirms the offer’s legal status but does not say whether Forrestania intends to compulsorily acquire shares it does not receive, or whether Zenith will ultimately be delisted. Those outcomes depend on the final level of acceptances and the applicable statutory thresholds.
Forrestania’s growing control arrives as it advances its own gold-processing plans, including a targeted mid-December start for first ore processing at Edna May. The takeover filing, however, provides no new operational update on that timetable. The immediate catalyst is simpler: the 12 November closing deadline and the ownership position revealed once the offer shuts.
Bottom Line?
The unconditional offer removes execution conditions, but the final acceptance level will determine whether Forrestania’s control stops at 63.87% or progresses towards full ownership and a possible delisting.
Questions in the middle?
- What final voting power will Forrestania report when the offer closes on 12 November?
- Will Forrestania pursue compulsory acquisition of remaining Zenith shares?
- Will Zenith remain listed after the takeover process concludes?
